Reinvestment Units definition

Reinvestment Units means those Phantom Units granted in accordance with Section 5(e) that have an aggregate value equal to the Distribution Amount attributable to such Participant on that Distribution Date, determined by dividing the Distribution Amount by the Unit Value on the Distribution Date.
Reinvestment Units means Class C Units that are issued to the holders of Class C Units in lieu of regular cash distributions pursuant to the Declaration of Trust;

Examples of Reinvestment Units in a sentence

  • Any Units purchased by Members via the Reinvestment Option shall be considered, for purposes of any Redemption requests, to “tag along” with the original date of purchase of the Units for which the Reinvestment Units are associated.

  • Each Eligible Participant shall pay the purchase price for such Eligible Participant’s Reinvestment Units following the Reinvestment Closing in accordance with the terms set forth in the Reinvestment Agreement.

  • Any Reinvestment Units purchased by Members shall be considered, for purposes of any Redemption Requests, to have the same date of purchase of the Units initially acquired by the Member.

  • The closing of the purchase and sale of all Reinvestment Units (the “Reinvestment Closing”) shall occur on a date established by the Class A Representative Member (subject to the reasonable approval of the Principal Member) within fifteen (15) Business Days following delivery of the Reinvestment Notice.

  • The Class A Representative Member shall only deliver one Reinvestment Notice, but, from and after the Effective Date until the earlier of the delivery of the Reinvestment Notice or January 31, 2023, the Class A Representative Member shall keep the Principal Member reasonably updated about the interest of potential Eligible Reinvestment Participants to purchase Reinvestment Units and Eligible Reinvestment Participants that have committed to purchase Reinvestment Units.

Related to Reinvestment Units

  • Placement Units shall have the meaning given in the Recitals hereto.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Reinvestment Notice a written notice executed by a Responsible Officer stating that no Event of Default has occurred and is continuing and that the Borrower (directly or indirectly through a Subsidiary) intends and expects to use all or a specified portion of the Net Cash Proceeds of an Asset Sale or Recovery Event to acquire or repair assets useful in its business.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Reinvestment has the meaning set forth in Section 2.2.

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • Class B Units means the Class B Units of the Company.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Reinvestment Agreement means a guaranteed reinvestment agreement from a bank, insurance company or other corporation or entity, in each case, at the date of such acquisition having a credit rating of at least A-1 from S&P and at least P-1 from Moody’s; provided that such agreement provides that it is terminable by the purchaser, without penalty, if the rating assigned to such agreement by either S&P or Xxxxx’x is at any time lower than such ratings.

  • Sponsor Shares shall have the meaning given in the Recitals hereto.

  • Private Placement Units shall have the meaning given in the Recitals hereto.

  • PIPE Investment Amount means the aggregate gross purchase price received by Acquiror prior to or substantially concurrently with Closing for the shares in the PIPE Investment.

  • Class A Shares means Class A ordinary shares, par value US$0.0001 per share, in the share capital of the Company.

  • Reinvestment Event any Asset Sale or Recovery Event in respect of which the Borrower has delivered a Reinvestment Notice.

  • Reinvestment Deferred Amount with respect to any Reinvestment Event, the aggregate Net Cash Proceeds received by the Borrower or any of its Subsidiaries in connection therewith that are not applied to prepay the Loans pursuant to Section 2.10(b) as a result of the delivery of a Reinvestment Notice.

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class A Common Shares means class A common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class A common shares may be converted.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Reinvestment Agreements One or more reinvestment agreements, acceptable to the Rating Agencies, from a bank, insurance company or other corporation or entity (including the Trustee).

  • Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.

  • Common Units is defined in the Partnership Agreement.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Deemed Partnership Interest Value means, as of any date with respect to any class of Partnership Interests, the Deemed Value of the Partnership Interests of such class multiplied by the applicable Partner's Percentage Interest of such class.

  • Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Per Share Stock Consideration has the meaning set forth in Section 3.01(a)(i).
