Release Letters definition

Release Letters means letters from each of the Incumbent Lenders pursuant to which such Incumbent Lender agrees to release any interest in the Financed Equipment, in each case, in form and substance acceptable to Lender. “Secondary Equipment” is leasehold improvements, intangible property including computer software and software licenses, equipment specifically designed or manufactured for Borrower, limited use property and other similar property (it being understood that, for purposes of this definition, equipment that is not specifically designed or manufactured for Borrower, but which is utilized by Borrower to assemble equipment that is specific to its business, shall not be deemed to be Secondary Equipment).
Release Letters means letters from each of the Incumbent Lenders and KPCB, in its capacity as agent for the Convertible Lenders, pursuant to which each of the Incumbent Lenders and KPCB, on behalf of the Convertible Lenders, agrees to release any interest in the Financed Equipment, in each case, in form and substance acceptable to Lender.

Release Letters means letters from each of the Incumbent Lenders pursuant to which such Incumbent Lender agrees to release any interest in the Financed Equipment, in each case, in form and substance acceptable to Lender.
Release Letters has the meaning set forth in Section 2.1(c)(i). “Relevant CoC Event” has the meaning set forth in Section 6.1(c)(ii).
Release Letters means, with respect to any Seller Indebtedness, all documentation necessary to obtain releases of all Encumbrances on Purchased Assets related to such Indebtedness, including appropriate Uniform Commercial Code termination statements and documents acceptable for recordation in the United States Patent and Trademark Office, the United States Copyright Office and any other similar domestic or foreign office, department or agency with respect to the release of all Encumbrances relating to any Intellectual Property that is part of the Purchased Assets, in each case for the benefit of and in form and substance reasonably satisfactory to the Purchaser and that authorize the Purchaser to make any related filings on behalf of the Seller or the holders of such Indebtedness. With respect to the Series 2005 Bonds, Series 2012 Bonds and Series 2009 Bonds, such Release Letters shall be substantially similar to the forms attached hereto as Exhibit G, with such modifications as are reasonably satisfactory to Purchaser.
Release Letters means one or more customary release letters or customary termination statements or customary release documentation in the applicable jurisdiction with respect to obligations under the Prepetition Credit Agreement, the Prepetition Notes, any other indebtedness for borrowed money (including the Debtor-in-Possession Facility, or any other “debtor-in-possession” financing) and any hedging, cash management or other obligation that is incurred or guaranteed by any of the Acquired Subsidiaries or with respect to which an Encumbrance is granted by any Acquired Subsidiary or granted by a Seller of an Acquired Subsidiary over its equity interests in that Acquired Subsidiary or any Acquired Asset, which letters and other instruments provide that all obligations of the Acquired Subsidiaries (including any guaranty thereof), and all Encumbrances on the assets of the Acquired Subsidiaries securing such obligations, shall be released and terminated effective concurrently with the Closing upon payment in full of the amounts specified therein, unless, in each case above, such release has been included in the Confirmation Order and is effective to cause the applicable release or termination without the need for the taking of any other steps (including any need to take steps outside of the United States to effectuate the release of Encumbrances).

Release Letters means the letters from the Existing Lenders to the Company and/or the Subsidiary, as relevant, in the formats annexed to the corresponding Release Confirmation Letters;
