Release Threshold definition

Release Threshold is defined in Section 14.1(c).
Release Threshold means, as of any date, the sum of (i) $18,000,000 plus (ii) 5% of the aggregate Appraised Value of the Additional Collateral consisting of engines pledged in connection with, or anticipation of, the funding of any Incremental Term Loans.
Release Threshold means an aggregate amount of Eight Million Five Hundred Thousand and NO/100 Dollars ($8,500,000.00).

More Definitions of Release Threshold

Release Threshold means, with respect to any Release Request Date: (a) from the Closing Date to, but excluding the second anniversary of the Closing Date, $100,000,000; provided that from the Closing Date to, but excluding the first anniversary of the Closing Date, only Aircraft or Spare Engines that are subject to a Technical Impairment may be released pursuant to this provision; (b) from the second anniversary of the Closing Date to, but excluding the third anniversary of the Closing Date, $100,000,000; (c) from the third anniversary of the Closing Date to, but excluding the fourth anniversary of the Closing Date, $50,000,000; (d) from the fourth anniversary of the Closing Date to, but excluding the fifth anniversary thereof, $50,000,000; (e) from the fifth anniversary of the Closing Date to, but excluding the sixth anniversary thereof, $40,000,000; and (f) following the sixth anniversary of the Closing Date to, but excluding the seventh anniversary thereof, $40,000,000 (each such period, a “Relevant Period”). Notwithstanding the foregoing, with respect to any Relevant Period (i) after the initial Relevant Period, the Release Threshold shall be increased by the unused portion of the Release Threshold for the immediately preceding Relevant Period (including as such preceding Release Threshold may previously have been increased pursuant to this proviso), and (ii) prior to and including the Relevant Period ending on the fourth anniversary of the Closing Date, up to 40% of the applicable Release Threshold (as it may have been increased pursuant to clause (i)) will be available for Spare Engines Collateral (and corresponding Specified Cash Collateral), up to 40% will be available for Tier I Aircraft Collateral (and corresponding Specified Cash Collateral) and up to 70% will be available for Spare Engines Collateral and Tier I Aircraft Collateral (and corresponding Specified Cash Collateral of each) on an aggregate basis.

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • Covered Debt Amount means, with respect to a Borrower, on any date, (a) all of the Revolving Credit Exposures of all Lenders to such Borrower on such date plus (b) the aggregate amount of outstanding Other Secured Indebtedness of such Borrower and the other members of its Obligor Group on such date plus (c) the aggregate amount of any Indebtedness of such Borrower and the other members of its Obligor Group incurred pursuant to Section 6.01(g) plus (d) the aggregate principal amount of (i) solely with respect to CCT (or any successor), the CCT 2022 Notes, (ii) solely with respect to FSIC (or any successor), the FSIC Notes and (iii) with respect to each Borrower, all Special Longer-Term Unsecured Indebtedness of such Borrower and the other members of its Obligor Group, solely to the extent that such CCT 2022 Notes, FSIC Notes and Special Longer-Term Unsecured Indebtedness, as applicable, are within 9 months prior to the scheduled maturity or earlier redemption date of such Indebtedness plus (e) any portion of any Unsecured-Longer Term Indebtedness that is subject to a contractually scheduled amortization payment, other principal payment or redemption (other than any conversion into Permitted Equity Interests) earlier than the scheduled maturity date of such Indebtedness, but only to the extent of such portion and beginning upon the date that is the later of (i) 9 months prior to such scheduled amortization payment, other principal payment or redemption and (ii) the date such Borrower becomes aware that such Indebtedness is required to be paid or redeemed, plus (f) Hedging Agreement Obligations (as defined in the Guarantee and Security Agreement to which such Borrower is a party) (other than Hedging Agreement Obligations arising from Hedging Agreements entered into pursuant to Section 6.04(c)) minus (g) the LC Exposures with respect to such Borrower fully cash collateralized on such date pursuant to Section 2.04(k) and the last paragraph of Section 2.08(a) or otherwise backstopped in a manner satisfactory to the relevant Issuing Bank in its sole discretion.

  • Required Ratings Threshold means each of the S&P Required Ratings Threshold and the Moody’s Second Trigger Ratings Threshold.

  • Threshold Percentage means 15%.

  • Overcollateralization Release Amount With respect to any Distribution Date, the lesser of (x) the Principal Remittance Amount for such Distribution Date and (y) the Excess Overcollateralized Amount.

  • Additional Accelerated Purchase Minimum Price Threshold means, with respect to an Additional Accelerated Purchase made pursuant to Section 2(c) hereof, any minimum per share price threshold set forth in the applicable Additional Accelerated Purchase Notice.

  • Excess Overcollateralization Amount With respect to any Distribution Date, the excess, if any, of (a) the Overcollateralization Amount on such Distribution Date over (b) the Required Overcollateralization Amount for such Distribution Date.

  • stipulated minimum threshold means that portion of local production and content as determined by the Department of Trade and Industry; and

  • Target Overcollateralization Amount means, with respect to any Payment Date, 3.00% of the Adjusted Pool Balance as of the Cutoff Date. Notwithstanding the foregoing, the Target Overcollateralization Amount shall not exceed the Adjusted Pool Balance on such Payment Date.

  • Moody’s Second Trigger Ratings Threshold means, with respect to Party A, the guarantor under an Eligible Guarantee or an Eligible Replacement, (i) if such entity has a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A3” and a short-term unsecured and unsubordinated debt rating from Moody’s of “Prime-2”, or (ii) if such entity does not have a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A3”.
