Failing to Meet the Release to Production Due Date If the Service Provider fails to implement a Major System Project by the “Release to Production Due Date” (as extended), the Department will have the option of (i) stopping all work on that Major System Project and receiving a price reduction (invoice credit) based on the Service Provider’s projected cost, or (ii) extending the Release to Production Due Date.
Service Provider agrees with the requirements of Subsection 3.6.4 (“Consequences of Service Provider Failing to Meet the Release to Production Due Date”) of the Contract (Attachment A).
Open-Silicon will not commence production of Production Units until Customer confirms the Release to Production of the Product by signing and submitting a Release to Production Form attached hereto as Exhibit B-2, and submitting a purchase order for the units as set forth in Section 4.1.
In the event that Customer desires to change the functionality or performance of the Product (either before or after delivery of Prototypes) and receive new Prototypes prior to Release to Production, Customer and Open-Silicon will develop a new mutually agreed upon SOW or will amend the existing SOW, in accordance with the ECO Process set forth in Section 2.1.
Except as set forth in subsection 3.6.4 (“Consequences of Service Provider Failing to Meet the Release to Production Due Date”) below, such extensions shall be the sole and exclusive remedy for a Party’s failure to adhere to the process and deadlines in subsection 3.6.1 (“Implementation Process and Deadlines”).
