The Independent Accounting Firm’s award will consist solely of an award with respect to the Remaining Disputed Items and will not include any other finding or award.
Sellers and Purchaser shall be bound by the determination of the Remaining Disputed Items by the Independent Accounting Firm.
Purchaser will pay the portion of the cost and expenses of the Independent Accounting Firm’s review and report that is represented by the dollar value of all Remaining Disputed Items that the Independent Accounting Firm determines are in accordance with or closest to the Shareholders’ position, divided by to the total dollar value of the Remaining Disputed Items.
Purchaser and Shareholder Representative shall use their reasonable best efforts to cause the Independent Accounting Firm to render its written decision resolving the matters submitted to it as promptly as practicable after submission of the Remaining Disputed Items, and in any event within 60 days after it accepts the referral and on the basis set forth in this Article 3.
The accounting firm so selected shall be referred to herein as the “Accountant.” The Accountant may consider only the Remaining Disputed Items and must resolve such Remaining Disputed Items (i) in accordance with the terms and provisions of this Agreement; and (ii) in a manner that does not assign a value to any item greater than the greatest value for such item claimed by any Party, or less than the smallest value of such item claimed by any Party, as set forth in the Dispute Notice.
