  • Once given, a Remarketing Notice shall not be rescinded or modified without BNPLC's written consent.

Remarketing Notice shall have the meaning assigned to it in Paragraph 2(b)(1) below.

A Remarketing Notice will be required only if 3COM does not concede that Fair Market Value will equal or exceed fifteen percent (15%) of Stipulated Loss Value on the Designated Sale Date. But if for any reason (including but not limited to any acceleration of the Designated Sale Date pursuant to clause (2) of the definition of Designated Sale Date above) 3COM fails to provide a Remarketing Notice within the time periods specified in the definition of Remarketing Notice above, Fair Market Value shall, for purposes of this Agreement, be deemed to be no less than fifteen percent (15%) of Stipulated Loss Value on the Designated Sale Date.
Remarketing Notice means the notice to be provided by the Remarketing Agent to the Tender and Paying Agent and the Liquidity Provider by 2:00 p.m., New York City time, on the Business Day preceding the Purchase Date regarding the number of VRDP Shares that it has successfully and unsuccessfully remarketed for purchase on the Purchase Date.
Remarketing Notice means the notice provided by the Remarketing Agent to the Tender Agent pursuant to the Sixteenth Supplemental Indenture with respect to the principal amount of Adjustable Rate Bonds subject to tender for purchase that has or has not been remarketed.
