Replacement Data definition

Replacement Data means Full Replacement Files or Partial Replacement Files
Replacement Data means data described in Exhibit D that is to be supplied by the Acquiror, but only to the extent such data can be provided in a manner that (x) will not cause significant disruption of other business operations of the Acquiror and its subsidiaries, (y) will utilize data collected and maintained by the Acquiror and its subsidiaries for purposes other than satisfying its obligations set forth in this Section 5.9 and (z) will not violate or conflict with any Requirement of Law or any material Contractual Obligation (each as defined in Section 9.3) (but excluding Contractual Obligations entered into by the Acquiror for the purpose of evading its obligations hereunder) of the Acquiror or any of its affiliates.
Replacement Data has the meaning specified in Section 5.9(e) of this Agreement.

Related to Replacement Data

  • Replacement Airframe means an Airbus A321 aircraft or a comparable or improved model of Manufacturer (except (a) Engines or engines from time to time installed thereon and any and all Parts related to such Engine or engines and (b) Excluded Equipment), that shall have been made subject to the Lien of the Indenture pursuant to Section 7.05 thereof, together with all Parts relating to such aircraft.

  • Replacement Property means any property which is placed in service as a replacement for any item of Equipment or any Improvement previously subject to this Fee Agreement regardless of whether such property serves the same functions as the property it is replacing and regardless of whether more than one piece of property replaces any item of Equipment or any Improvement to the fullest extent that the FILOT Act permits.

  • Communications Equipment means the communications equipment of the Licensee and its affiliates, including, without limitation, cabinets, racks, electronic equipment and other similar equipment.

  • Replacement Price means the price, determined by Buyer in a commercially reasonable manner, at which Buyer purchases (if at all) substitute SRECs having the same or subsequent Reporting Year as those SRECs not delivered by Seller for the deficiency or, absent such a purchase, the Market Price for such quantity of SRECs at or during the time that Seller fails to deliver the SRECs, provided that the Market Price shall never exceed the solar alternative compliance payment.

  • Replacement Benchmark means a benchmark rate which is:

  • Replacement Services means any services which are substantially similar to any of the Services and which the Customer receives in substitution for any of the Services following the Call Off Expiry Date, whether those services are provided by the Customer internally and/or by any third party;

  • GLO Data means any data or information owned by the GLO, including PII or SPI as defined below, that Provider creates, obtains, accesses (via records, systems, or otherwise), receives (from the GLO or on behalf of the GLO), or uses in the performance of the Contract or any documents related thereto.
