Examples of Replacement Items in a sentence
Notwithstanding the provisions of Section 11.4 which require the Liquidator to liquidate the Property, the Liquidator will, at the request of the Nonaffiliated Partner, distribute to the Nonaffiliated Partner, in lieu of cash, Units and any Replacement Units, but specifically not Other Equipment or Replacement Items which Other Equipment and Replacement Items shall be distributed to General Partner and Affiliated Partner in accordance with their respective Capital Accounts.
In addition to the repair of any Items, the purchase of Replacement Items or the payment of the Casualty Value, Company shall also pay any costs and expenses (including Attorneys’ Fees) incurred by Regions in connection with its exercise or protection of its rights and interests hereunder.
If the arbitrator determines that the specified Systems and Equipment (or portion thereof) do not have a remaining useful life in excess of the initial Lease Term, then Landlord shall, prior to the expiration of then remaining useful life of such Systems and Equipment (or portion thereof), replace such Systems and Equipment (or portion thereof) at Landlord's sole cost and expense and not as an Operating Expense chargeable to Tenant ("Landlord Replacement Items").
The Replacement Items shall not be completed unless and until Landlord has approved the plans and specifications, such approval not to be unreasonably withheld, conditioned or delayed.
This Indenture, as supplemented from time to time, is intended to and shall create and grant to Indenture Trustee a security interest in each of the Units (but not the Other Equipment or Replacement Items or the Excepted Property), which security interest shall attach on the Commencement Date or other date on which Partnership acquires an interest in such Units.
If Tenant elects to enter into any contract(s) for MEP Replacement Items (rather than have Landlord enter into such contract(s)), Landlord shall be named a third party beneficiary of such contract with the right to enforce all warranties.
For avoidance of doubt, (i) the cost of the regular maintenance and regular repairs (as opposed to capital repairs) of the MEP Replacement Items throughout the Term shall be considered Operating Expenses, subject to the terms of Section 5 of the Original Lease, and (ii) capital repairs, replacements and regular maintenance for any other equipment serving the Building which is not listed on Exhibit A shall be considered an Operating Expense, subject to the terms of Section 5 of the Original Lease.
The remaining balance of the Tenant Improvement Allowance in the amount of ONE MILLION FOUR HUNDRED THOUSAND AND NO/100 DOLLARS ($1,400,000.00) shall be used by Tenant to complete certain office renovation and improvement work at the Premises (the “Office Work” and together with the Short-Term Repairs, the Roof Replacement and the Replacement Items, referred to herein collectively, as the “Improvement Work”).
With respect to the Replacement Items (including the roof work), Tenant shall use a contractor subject to Landlord’s prior approval, such approval shall not be unreasonably withheld, conditioned or delayed.
Landlord and Tenant acknowledge and agree that following the completion of the Roof Replacement and the Replacement Items, such items shall be assets of the Landlord (provided that the foregoing shall in no way be construed to impose any maintenance, repair or replacement obligations on the Landlord with respect to such assets, which obligations shall remain with Tenant as set forth herein).
