Required Acquiror Stockholder Approval definition

Required Acquiror Stockholder Approval means the approval of each Required Transaction Proposal by the affirmative vote of the holders of the requisite number of Acquiror Common Stock entitled to vote thereon, whether in person or by proxy at the Special Meeting (or any adjournment thereof), in accordance with the Acquiror Organizational Documents and applicable Law.
Required Acquiror Stockholder Approval set forth in Section 1.01 of the Merger Agreement is hereby amended by adding the following words to the end of the definition “; provided, however, that the Governing Documents Proposals shall each have been approved by the affirmative vote of the holders of a majority of the shares of Acquiror Class A Common Stock then outstanding and entitled to vote thereon at the Special Meeting, voting separately as a single series.”
Required Acquiror Stockholder Approval has the meaning specified in Section 5.02(b).
