Required Company Stockholder Approval definition

Required Company Stockholder Approval means the approval of the plan of merger set forth in this Agreement by the stockholders of the Company in accordance with the NRS and the Company’s Organizational Documents, which shall require the affirmative vote of a majority of the issued and outstanding shares of Company Stock, voting together as a single class.
Required Company Stockholder Approval means the affirmative vote to adopt this Agreement of the holders of (a) at least a majority of the voting power of the outstanding shares of Company Common Stock entitled to vote on this Agreement in accordance with the DGCL and (b) at least a majority of the voting power of the outstanding shares of Company Common Stock held by the Disinterested Stockholders entitled to vote on this Agreement (the approval described in this clause (b), the “Disinterested Stockholder Approval”).
Required Company Stockholder Approval has the meaning ascribed thereto in Section 2.2(a).

More Definitions of Required Company Stockholder Approval

Required Company Stockholder Approval has the meaning set forth in Section 5.2(c).
Required Company Stockholder Approval means the vote of the Shapeways Stockholders (including any separate class or series vote that is required pursuant to Shapeways’ Organizational Documents, any stockholder agreement or otherwise) required to approve the Merger Agreement and each applicable Ancillary and all of the transactions contemplated by the Merger Agreement in accordance with the Shapeways Organizational Documents.
Required Company Stockholder Approval means (a) the Company Stockholder Approval and (b) the Company Non-Unitholder Stockholder Approval.
