Disinterested Stockholder Approval definition

Disinterested Stockholder Approval has the meaning set forth in Section 3.4(c).
Disinterested Stockholder Approval means the affirmative vote or written consent of Disinterested Stockholders representing greater than 50% of the Total Current Voting Power of the Company held by all Disinterested Stockholders, duly obtained in accordance with the applicable provisions of the Certificate, By-laws and applicable law.
Disinterested Stockholder Approval shall have the meaning set forth in Section 6.10(C).
