Requisite Stockholder Vote definition

Requisite Stockholder Vote has the meaning set forth in Section 4.2(a).
Requisite Stockholder Vote means the adoption of this Agreement by the affirmative vote of the holders of a majority of the voting power of the shares of Common Stock outstanding and entitled to vote thereon.
Requisite Stockholder Vote means the affirmative vote of the holders of at least 90% of the outstanding Company Capital Stock.

More Definitions of Requisite Stockholder Vote

Requisite Stockholder Vote means (i) the affirmative approval of a majority of all votes entitled to be cast on the matter and (ii) the affirmative vote of a majority of all votes entitled to be cast on the matter, except those that may be cast by Affiliated Stockholders. As used herein, “Affiliated Stockholder” means a stockholder who is a director or officer of the Company, the Consolidated Company, any of their Affiliates or Parent or who is otherwise an Affiliate of the Company.
