Resale Items definition

Resale Items means products and services that AVEVA may recommend or make available to the Customer but that are supplied or provided by a third party to the Customer in accordance with an agreement entered into directly between the Customer and such third party;
Resale Items means third party supplied items.

Examples of Resale Items in a sentence

  • Prices for Company Resale Items purchased hereunder and Reseller’s discount shall be agreed to from time to time.

  • Company authorizes Reseller to use Company’s Trademarks or make reference to Company or its name solely for its performance under this Agreement to advertise and sell the Resale Items.

  • Should Reseller resell Resale Items to any entity other than an end-user, and Resale Items are further resold, the final end-user may not receive any Company warranty or technical support.

  • Company shall endeavor to produce, assemble and ship Company Resale Items to Reseller in a timely manner.

  • This Agreement with its terms and conditions, and those provided under the Company General Terms and Conditions, applies to all purchase orders which Reseller may place with Company for the Resale Items during the Term of this Agreement.

  • The Resale Items are covered by the limited warranties defined in Company’s General Terms and Conditions.

  • Reseller may advertise in publications of general circulation that it is an authorized reseller of the Resale Items.

  • Seller makes no warranties whatsoever with respect to Seller Goods comprising of Resale Items.

  • Reseller shall comply with all Canadian and Reseller’s Territory export/import laws and regulations applicable to Company Resale Items, and shall obtain any licenses required for import.

  • Reseller may sell Company Products only to end-users within the Territory, and shall not export any Company Resale Items without Company's advance written approval and, if required, the Canadian government permission.

Related to Resale Items

  • Prospectus means the prospectus included in any Registration Statement, as supplemented by any and all prospectus supplements and as amended by any and all post-effective amendments and including all material incorporated by reference in such prospectus.

  • Prospectus Regulation means Regulation (EU) 2017/1129.

  • U.S. Base Prospectus has the meaning set forth in Section 1(b) hereof.

  • Preliminary Final Prospectus means any preliminary prospectus supplement to the Basic Prospectus which describes the Securities and the offering thereof and is used prior to filing of the Final Prospectus, together with the Basic Prospectus.

  • Preliminary Prospectus means any preliminary prospectus referred to in paragraph 1(a) above and any preliminary prospectus included in the Registration Statement at the Effective Date that omits Rule 430A Information.

  • Preliminary Offering Memorandum means the preliminary offering memorandum consisting of the Red Xxxxxxx Prospectus and the preliminary international wrap to be used for offer and sale to persons/entities that are resident outside India;

  • UK Prospectus Regulation means Regulation (EU) 2017/1129 as it forms part of domestic law by virtue of the EUWA;

  • Preliminary Prospectuses means, collectively, the Canadian Preliminary Prospectus and the U.S. Preliminary Prospectus;

  • Pricing Prospectus means the Base Prospectus, as amended and supplemented immediately prior to the Applicable Time, including any document incorporated by reference therein and any prospectus supplement deemed to be a part thereof.

  • U.S. Preliminary Prospectus means the Canadian Preliminary Prospectus with such deletions therefrom and additions thereto as are permitted or required by Form F-10 and the applicable rules and regulations of the SEC, included in the Initial Registration Statement as amended at such time, including the Documents Incorporated by Reference therein;

  • Statutory Prospectus with reference to a particular time means the prospectus included in a Registration Statement immediately prior to that time, including any 430A Information or 430C Information with respect to such Registration Statement. For purposes of the foregoing definition, 430A Information shall be considered to be included in the Statutory Prospectus as of the actual time that form of prospectus is filed with the Commission pursuant to Rule 424(b) or Rule 462(c) and not retroactively.

  • Underwriter Free Writing Prospectus means a Free Writing Prospectus prepared by or on behalf of an Underwriter.

  • Canadian Base Prospectus has the meaning set forth in Section 1(a) hereof.

  • Issuer General Free Writing Prospectus means any Issuer Free Writing Prospectus that is intended for general distribution to prospective investors, as evidenced by its being specified in Schedule II hereto.

  • Issuer Free Writing Prospectus means an issuer free writing prospectus, as defined in Rule 433.

  • Blue Sky Application As defined in Section 6(a)(i) hereof.

  • Shelf Prospectus means a prospectus filed under National Instrument 44-102 Shelf Distributions;

  • Basic Prospectus means the prospectus referred to in paragraph 1(a) above contained in the Registration Statement at the Effective Date including any Preliminary Final Prospectus.

  • Issuer-Represented Free Writing Prospectus means any “issuer free writing prospectus,” as defined in Rule 433(h) of the Securities Act Regulations, relating to the Securities. The term does not include any writing exempted from the definition of prospectus pursuant to clause (a) of Section 2(a)(10) of the Securities Act, without regard to Rule 172 or Rule 173 of the Securities Act Regulations.

  • Preliminary Prospectus Supplement means any preliminary prospectus supplement to the Base Prospectus which describes the Securities and the offering thereof and is used prior to filing of the Final Prospectus Supplement, together with the Base Prospectus.

  • U.S. Prospectus means a prospectus that has been prepared in accordance with the disclosure and other requirements of U.S. federal securities law for an offering of securities registered under the 1933 Act.

  • Canadian Preliminary Prospectus means the Initial Canadian Preliminary Prospectus, as amended by the Amended and Restated Canadian Preliminary Prospectus, including the Documents Incorporated by Reference;

  • Final Prospectus means the prospectus supplement relating to the Securities that was first filed pursuant to Rule 424(b) after the Execution Time, together with the Base Prospectus.

  • Final Offering Memorandum shall be deemed to mean and include all information filed under the Securities Exchange Act of 1934 (as amended, the “Exchange Act,” which term, as used herein, includes the rules and regulations of the Commission promulgated thereunder) prior to the Time of Sale and incorporated by reference in the Pricing Disclosure Package (including the Preliminary Offering Memorandum) or the Final Offering Memorandum (as the case may be), and all references herein to the terms “amend,” “amendment” or “supplement” with respect to the Final Offering Memorandum shall be deemed to mean and include all information filed under the Exchange Act after the Time of Sale and incorporated by reference in the Final Offering Memorandum. The Company hereby confirms its agreements with the Initial Purchasers as follows:

  • Limited Use Issuer Free Writing Prospectus means any Issuer Free Writing Prospectus that is not a General Use Issuer Free Writing Prospectus.

  • Pre-Pricing Prospectus means the preliminary prospectus dated June 8, 2021 relating to the Securities in the form first furnished to the Underwriters for use in connection with the offering of the Securities.
