Restatement Price definition

Restatement Price means the Daily Market Price calculated as of any day during either of the following periods, in the sole discretion of the Purchaser: (A) the forty (40) Business Days after and excluding the related Restatement Date or (B) the forty (40) Business Days after and excluding any date on which the Company files restated financial statements with the SEC with respect to such Restatement.
Restatement Price means the average of the Daily Market Price during either of the following periods, in the sole discretion of Holder(s) of a Majority of the Series A-1 Preferred Stock: (A) the forty (40) Business Days after and excluding the related Restatement Date or (B) the forty (40) Business Days after and excluding any date on which the Company files restated financial statements with the SEC with respect to such Restatement.
Restatement Price means the Average Price calculated as of the Restatement Price Determination Date. "Qualifying Restatement" means any Restatement for which the Pre-Restatement Price exceeds the Restatement Price by five percent (5%) or more. "Pre-Restatement Price" means, for any Restatement, the Average Price calculated as of the date three (3) Business Days before and excluding any date on which the Company announces its intention to restate any portion of its Financial Statements. "Restatement Price Determination Date" means, for any Restatement, the date which is sixty (60) Business Days after and excluding the date on which the Company (A) files restated financial statements with the SEC with respect to such Restatement or (B) if the Company does not make such a filing, makes such restated financial statements public (by a press release or otherwise). "Financial Statements" means all financial statements (including the notes thereto) and earnings releases filed by the Company with (or furnished by the Company to) the SEC or publicly announced by the Company. "Average Price" means, with respect to any reference date, the average of the Daily Prices of the Common Stock for the sixty (60) Business Days ending on and including such reference date, subject to adjustment for stock splits, recombinations, stock dividends and the like.

  • From and after the date that any Holder delivers a Restatement Adjustment Notice (as defined in the Agreement) to the Company, each subsequent Warrant Price shall in Holder’s sole discretion with respect to one or more exercises of the Warrants, equal the lesser of (a) the Warrant Price calculated without regard to such Restatement Adjustment Notice and (b) the Restatement Price (as defined in the Agreement) specified in such Restatement Adjustment Notice.

Restatement Price means, for any Restatement Date, the volume-weighted average price per Share on such Restatement Date for the period from 9:30 a.m. (New York time) to 3:50 p.m. (New York time) as displayed under the heading “Bloomberg VWAP” on Bloomberg page “CX US <equity> VAP” (or any successor thereto), or if such price is not so reported on such Restatement Date for any reason or is, in the Calculation Agent’s reasonable discretion following notice in reasonable detail to, and consultation with, Cemex, erroneous, or such Restatement Date is a Disrupted Day in whole or in part, the VWAP Price shall be as reasonably determined by the Calculation Agent using a substantially similar volume-weighted method taking into account, if applicable, the nature and duration of the Market Disruption Event.

  • Agreement Price shall be the higher of (a) the fair market value of the Shares to be purchased determined in good faith by the Board of Directors of the Company and (b) the original exercise price of the Shares to be purchased.

  • Adjustment Price means the lowest Underlying Price within the Adjustment Period after the Underlying Price is for the first time equal to or below the Adjustment Threshold.
