Lessee acknowledges that prior to the Commencement Date, Lessor has constructed substantial improvements in the Premises in order to accommodate a restaurant operator ("Restaurant Improvements").
Lessee shall not during the course of the construction of its Lessee Owned Alterations and/or Utility Installations in the Premises or at any time during the Original Term or Option Period, remove, replace, modify or disturb any of the Restaurant Improvements.
Tenant shall, at its own expense, make such alterations, improvements, additions and changes to the Restaurant Space as it may deem necessary or expedient in connection with the initial construction and equipping of the Restaurant (“Restaurant Improvements”); the parties acknowledge that Tenant may have access prior to the Operational Date hereof permitting Tenant access to the Buildings to commence construction of the Restaurant Improvements.
Upon Substantial Completion of the HQ Expansion or any Restaurant Improvements, Lessee will deliver to Lessor a certificate establishing that Substantial Completion has occurred with respect to such HQ Expansion or Restaurant Improvements, as applicable.
This Agreement constitutes consent and authorization for Borrower to purchase directly the related equipment and materials for the Restaurant Improvements and to contract directly for the construction and/or installation of the Restaurant Improvements on the Property.
Contractor shall perform the Work in a good and workmanlike manner for the project identified as Italia Street Restaurant Improvements Project (“Project”), as described in this Contract and in the Contract Documents.
With respect to any Restaurant Advance the aggregate amount of Restaurant Advances to be made by each Noteholder with respect to the Restaurant Land being acquired and the Restaurant Improvements being constructed on such Restaurant Land and each Series of Notes held by such Noteholder shall not exceed the product of (A) the applicable Series Percentage, (B) such Noteholder's Commitment Percentage with respect to such Series of Notes and (C) the applicable Restaurant Property Maximum Advance Amount.
The Developer covenants and agrees that the Developer shall commence and complete the construction of the Restaurant Improvements in accordance with the DA and thereafter, throughout the Term, the Developer shall and shall require the Restaurant Improvements to be operated on the Property in accordance with the terms of the DA and this Agreement.
Collectively, the Restaurant Improvements and the Restaurant Parcel.
The aggregate amount of actual and projected Project Costs (whether or not already funded) for all Restaurant Improvements that have yet to be completed in accordance with the Agency Agreement (as set forth in the applicable construction budgets) shall at no time exceed $10,000,000.
