RESTRICTIONS ON STOCK. To the extent that an option/stock holder is a party to the Stockholders' Agreement as a result of a cash investment in the Company (made in connection with Closing), the restrictions contained in the Stockholders' Agreement will govern and control. *PROHIBITION ON Stock acquired pursuant to Award generally may not be TRANSFERS: transferred or otherwise disposed of prior to the six months following the date of a qualified public offering of the Company; provided, however, that, if the Warburg Investors agree to a lockup covering a period longer than six months following a qualified public offering, all participants shall be restricted from transferring Stock acquired pursuant to Award for such longer period.

  • Company Restricted Stock means all shares of Company Common Stock, subject to vesting or other restrictions, whether granted pursuant to the Company Stock Plans or otherwise.
