Retained Equity means the Existing Equity Interest in PREIT, as retained by the Existing Equity Holders pursuant to the terms of the Plan as of the Effective Date.

Any Retained Equity repurchased by the Company pursuant to Section 9.11 of this Agreement shall continue to be treated as Retained Equity of the BR Member solely for purposes of calculating the Minimum Threshold.
