Retention Payments definition

Retention Payments shall have the meaning set forth in Section 3.01(b).

  • If Operator fails to remit the Retention Payments in full by the date due, interest shall accrue on any unpaid amounts at five percent (5%) per annum or the maximum legally permitted rate, whichever is less.

Retention Payments means $24,109,201.10, which represents the maximum amount of the retention payments to be made by the Companies and their Subsidiaries pursuant to the agreements listed under the heading “Retention Letters” in Section 3.1(r)(i) of the Seller Disclosure Schedule, as in effect on the date hereof.

Retention Payments means, with respect to any Participant, the 2018 Retention Payment, if any, and/or the 2019 Retention Payment, if any, as applicable, with respect to such Participant.
