For each Performance Year, CMS shall pay the ACO in accordance with (1) the Capitation Payment Mechanism selected by the ACO as described in Section 8.01 and, if selected by the ACO as described in Section 8.01, the APO; (2) the Risk Sharing Option (Global or Professional) that the ACO selected as described in Article VIII; (3) Appendix B; (4) Article XI; and (5) this Article XII.
Company Stock Option means an option to purchase shares of Common Stock.
Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).
3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.
Unvested Company Option means any Company Option that is not a Vested Company Option.
Company Stock Options means all options to acquire shares of Company Common Stock from the Company, whether granted pursuant to the Company Stock Plans or otherwise.
Company Stock Option Plan means any equity incentive, stock option, stock bonus, stock award or stock purchase plan, program or arrangement, as amended to date, of the Company or any Company Subsidiary, or any predecessor of any of the foregoing, including the Company's 2003 Omnibus Stock Option Plan and 2000 Omnibus Stock Option Plan.
Company Equity Awards means Company Options and Company RSUs.
Company Equity Award means a Company Stock Option or a Company Restricted Share granted under one of the Company Stock Plans, as the case may be.
Over-Allotment Option means the option of the Underwriters to purchase up to an additional 15 per cent of the firm units (as described in the Articles) issued in the IPO at a price equal to US$10 per unit, less underwriting discounts and commissions.
Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.
Company Stock Plans has the meaning set forth in Section 3.02(b).
Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.
Equity Award means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or any other form of award that is measured with reference to the Stock.
Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.
Vested Option means any Option, which has already been vested according to the Vesting Dates.
Company Stock Fund means a hypothetical investment fund pursuant to which Deferred Stock Units are credited with respect to a portion of an Award subject to an Election, and thereafter until (i) the date of distribution or (ii) the effective date of a Diversification Election, to the extent a Diversification Election applies to such Deferred Stock Units, as applicable. The portion of a Grantee’s Account deemed invested in the Company Stock Fund shall be treated as if such portion of the Account were invested in hypothetical shares of Common Stock or Special Common Stock otherwise deliverable as Shares upon the Vesting Date associated with Restricted Stock or Restricted Stock Units, and all dividends and other distributions paid with respect to Common Stock or Special Common Stock were held uninvested in cash and credited with interest at the Applicable Interest Rate as of the next succeeding December 31 (to the extent the Account continues to be deemed credited in the form of Deferred Stock Units through such December 31).
Rollover Options has the meaning provided in Subsection 3.1(h).
Company Option means an option to purchase shares of Company Common Stock.
