ROFO Acceptance Notice. The delivery of a ROFO Acceptance Notice prior to the expiration of the ROFO Commitment Period shall constitute an irrevocable commitment to sell all the ROFO Transfer Interest to the ROFO Buyer and an irrevocable commitment by the ROFO Buyer to buy all the ROFO Transfer Interest from the ROFO Offeror, in each case in accordance with the terms and conditions set forth in the ROFO Offer Notice. If a ROFO Buyer breaches its obligation to purchase the ROFO Transfer Interest, such ROFO Buyer and its Affiliates who are Lenders shall (without limiting the remedies of the ROFO Offeror against the ROFO Buyer for its breach) lose all further rights to deliver a ROFO Offer Notice with respect to any future Transfer under this Section 10.6(j)(ii).
