ROFO Offeree definition

ROFO Offeree has the meaning set forth in Section 7.5(1);

• If they are unable to agree on such fair market value within five days after the delivery of the ROFO Offer Notice, then the ROFO Transferor, on the one hand, or any ROFO Offeree, on the other hand, may commence the valuation process described in this Section 3.4(d) by providing written notice to the other party (such notice, a “Valuation Process Notice”).

• The number of Common Shares to be sold to a ROFO Offeree Shareholder pursuant to the immediately preceding sentence is referred to as the “Allocated Shares.” Within ten (10) business days of receipt of the last ROFO Election, the Initiating Seller shall sell to each electing ROFO Offeree Shareholder such Shareholder’s Common Shares at the Proposed Price.

• If the ROFO Offer sets forth a consideration in EXPE Stock, the Transferring Holder may Transfer the ROFO Securities at a price that is not less than (x) the value of EXPE Stock if the ROFO Offeree offers shares in EXPE Stock for a certain value or (y) the value of shares in EXPE Stock as obtained from Bloomberg L.P. on the last trading day prior to the sale by the Transferring Holder to a third party if the ROFO Offeree offers a certain number of EXPE Stock.
