Sage Products the Sage product(s) described in the Order. Services: the Support Services and/or Consultancy Services, as applicable. Service Commencement Date: the date from which the Support Services will be provided, as agreed in writing. Sage Products means the software applications that Sage sells and that the Program Guides permit Partner to resell.
Sage Products means each of Sage 200 and Sage 200 Online.

  • In the event of a claim or threatened claim under this section by a third party, Sage may, in its sole discretion, elect to (i) revise the Sage Products so that they are no longer infringing, (ii) obtain the right for Partner to continue using the Sage Products, or (iii) terminate this Agreement upon 10 days’ written notice.

  • Section 5 (Proprietary Rights), section 8.4 (Effect of Termination), section 8.5 (Access to Sage Products), section 8.6 (Transitioning Customers after Agreement’s Termination), section 9.4 (Disclaimer of Warranties), section 10 (Indemnification), section 11 (Limitation of Liability), and section 12 (General Provisions) will survive any termination or expiration of the Agreement.

  • As between Sage and Partner, Sage owns all rights to the Sage Products, any Intellectual Property Rights therein, any materials relating thereto, and any customizations, modifications, enhancements, updates, revisions, or derivative works thereof.

  • Sage’s warranty obligations for Sage Products shall be limited to the warranty provisions of the applicable End-User Agreement.

  • You agree and accept that all responsibility and liability in respect of the Sage Contract and Sage Products lies exclusively with Sage.

  • Subject to section 10.3, Sage shall defend Partner, at Sage’s expense, in any third-party claim alleging that the Partner’s use of any unaltered Sage Products infringes or misappropriates any U.S. patent, copyright, or trade secret of such third party.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • Steel Products means products rolled, formed, shaped, drawn, extruded, forged, cast, fabricated or otherwise similarly processed, or processed by a combination of two or more or such operations, from steel made by the open heath, basic oxygen, electric furnace, Bessemer or other steel making process.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Your Products means products developed or to be developed by or for You that include an Intel Component executing the Materials. 2.

  • Red Hat Products means Software, Services, Subscriptions and other Red Hat branded offerings made available by Red Hat.

  • End Products as used in this clause, means those articles, materials, and supplies to be acquired for public use under this contract.

  • Combination Products means any product containing both a pharmaceutically active agent or ingredient which constitutes a Licensed Product and one or more other pharmaceutically active agents or ingredients which do not constitute Licensed Products.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.
