Sale Model shall have the meaning set forth in Part I of Appendix B.
Sale Model means the model agreed by Purchaser and Seller as of the date of this Agreement for the calculation of the Class B Member’s economic benefits over a 25-year period from the Closing Date on a post-tax basis, assuming internal use of any tax benefits. If the Sale Model Adjustment is positive, the Purchase Price payable by Purchaser to Seller on the Closing Date will be increased by the amount of the Sale Model Adjustment.
