Utility shall continue to collect and remit, pursuant to the terms of the Servicing Arrangement and the principles provided in the Settlement Principles for Remittances and Surplus Revenues provided in Exhibit C hereto and any DWR Charges billed to customers or any DWR Surplus Energy Sales Revenues attributable to sales entered into before the effective date of termination of the Servicing Arrangement.
Millennium will provide Abacus with a full accounting of Net Sales Revenues each month and each quarterly period.
Net Sales Revenues for the purposed of calculating and determining Royalties and Fees for the duration of this license will be sales revenues received by Millennium from the sale of Products, before distributor discounts, less full provision for credits provided for returned Products and provision for bad debts which remain unrecovered after 12 months.
Columbia may offset or recoup any and all amounts owed to it by SCO Supplier, or for which it may be held responsible as a result of SCO Supplier’s participation in the SCO Program (collectively, the “Offset Amounts”), against and from any and all amounts payable by Columbia to SCO Supplier under the Agreement, including without limitation any amounts payable by Columbia with respect to the SCO Accounts Receivable and DSS Sales Revenues.
Such payment will consist of the DSS Sales Revenues based on the SCO Supplier awarded tranches and the purchase price for SCO Accounts Receivable.
