SBIC Investor definition

SBIC Investor means any Investor that is a Small Business Investment Company, as defined in 13 C.F.R. Section 107.
SBIC Investor shall have the meaning specified in Section 6.1.10 of this Agreement.
SBIC Investor means any Purchaser which is organized as a small business investment company under the Small Business Investment Act of 1958, as amended.

  • So long as any SBIC Investor holds any securities of the Company, the Company will at all times comply with the non-discrimination requirements of 13 C.F.R. Parts 112, 113 and 117.

  • Acusphere shall notify each SBIC Investor (i) on or prior to the taking of any action which increases the number of record holders of Acusphere's voting securities from fewer than 50 to 50 or more, and (ii) of any other action or occurrence which increases the number of record holders of Acusphere's voting securities from fewer than 50 to 50 or more, as soon as practicable after Acusphere becomes aware that such other action or occurrence has occurred or is proposed to occur.

  • Acusphere shall provide each SBIC Investor and the Small Business Administration (the "SBA") reasonable access to Acusphere's books and records for the purpose of confirming the use of Proceeds.

  • Upon request, Acusphere promptly (and in any event within 20 days of such request) will furnish to each SBIC Investor all information reasonably requested by such SBIC Investor in order for such SBIC Investor to comply with the requirements of 13 C.F.R. Section 107.620 or to prepare and file SBA Form 468 and any other information requested or required by any governmental agency asserting jurisdiction over such SBIC Investor.

  • The Company acknowledges that, based on information provided to the Company by such investor, each SBIC Investor is a Federal licensee under the Small Business Investment Act.

  • So long as any SBIC Investor holds any securities of Acusphere, Acusphere will at all times comply with the non-discrimination requirements of 13 C.F.R. Parts 112, 113 and 117.

  • The information provided by the Company to each Purchaser that is a licensed Small Business Investment Company (an "SBIC Investor") on SBA Forms 480, 652 and 1031 delivered in connection herewith is accurate and complete.

  • Strategic Investor means a Corporation, partnership or other entity engaged in one or more Telecommunications Businesses that has, or 80% or more of the Voting Stock of which is owned by a Person that has, an equity market capitalization, at the time of its initial Investment in the Company or in a Permitted Joint Venture with the Company, in excess of $2 billion.

A person is considered an Investment Person only as to those client accounts or types of client accounts as to which he or she is designated by Personal Trading Compliance or the Chief Compliance Officer as such.   • Qualified instructor means individuals whose training and experience adequately prepare them to carry out specified training assignments. Interpreting physicians, radiologic technologists, or medical physicists who meet the requirements of 41.6(3) would be considered qualified instructors in their respective areas of mammography.   • Permitted Investors the collective reference to the Sponsor and its Control Investment Affiliates.

  • Qualified Investors means investors who are professional clients (client professionnel/professionele cliënt) or eligible counterparty (contrepartie éligible/in aanmerking komende tegenpartij) as defined in the Belgian Prospectus Law of 16 June 2006 (as amended from time to time). The Qualified Investors may bear a lower Entry Fee (as defined under item 77 of Part A) depending on (i) the evolution of the credit quality of the Issuer (credit spread), (ii) the evolution of interest rates, (iii) the success (or lack of success) of the placement of the Notes, and (iv) the amount of Notes purchased by an investor, each as determined by each relevant distributor (including BNP Paribas Fortis SA/NV) in its sole discretion.
