Scheduled Facility Termination Date definition

Scheduled Facility Termination Date means, for any Group Commitment, October 29, 2021September 16, 2022 or with respect to any Purchaser Group party to an Assumption Agreement or Transfer Supplement, such other date, if any, set forth in the applicable Assumption Agreement or Transfer Supplement.

Scheduled Facility Termination Date means the earliest of (i) July 15, 2023 (unless a later date has been agreed to in writing by the Facility Agent and each Lender as requested by the Borrower in accordance with Section 2.8), (ii) the date on which the Interest Spread Test Termination Event occurs, (iii) an “Advanced Liquidity Event” occurs with respect to a listing of shares on a national securities exchange in connection with an initial public offering, unless TPC continues as the investment manager of the Equityholder after the effective date of any such initial public offering and (iv) a default under the constituent documents of the Equityholder.

Scheduled Facility Termination Date means April 29, 2022; provided that the Seller may, with the prior written consent of the Agent and each Purchaser, extend the then existing Scheduled Facility Termination Date for a term of one year by providing written notice to the Agent on or before each anniversary of April 15th that is two years prior to the then existing Scheduled Facility Termination Date of its request to extend the then existing Scheduled Facility Termination Date for one year.

Examples of Scheduled Facility Termination Date in a sentence

• If none of the events described in the foregoing clauses (i) or (ii) occurs during the Consent Period and all Consent Notices have been received, then, the Scheduled Facility Termination Date shall be irrevocably extended until the date that is 364 days after the Scheduled Facility Termination Date then in effect.

• The Seller may advise the Administrator (which shall promptly forward a copy to each Purchaser Agent) in writing of its desire to extend the Scheduled Facility Termination Date for each Group Commitment (or portion thereof), provided such request is made not more than 90 days (or such other number of days as to which the applicable Purchaser Agent shall consent) prior to, and not less than 60 days prior to, the next Scheduled Facility Termination Date.

• In the event that the Commitments are not extended in accordance with the provisions of this Section 4.6, the Commitment of each Financial Institution (other than its commitment to make LC Participation Advances hereunder) shall be reduced to zero on the Scheduled Facility Termination Date.

• No Lender Group shall have any obligation to agree to extend the Scheduled Facility Termination Date with respect to its Commitment; and in the event any Lender shall not provide written notice of its agreement to extend the Scheduled Facility Termination Date within thirty (30) days following its receipt of the Extension Request, such Lender Group shall be deemed to have rejected such Extension Request (each, a “Non-Extending Lender Group”).
