Second Lien Security Agreements definition

Second Lien Security Agreements means the U.S. Second Lien Security Agreement and the Canadian Second Lien Security Agreement.
Second Lien Security Agreements has the meaning assigned to that term in the Recitals hereto.
Second Lien Security Agreements means the Mortgage and the Pledge Agreement and any mortgage or pledge agreement creating a Lien on Shared Collateral to secure any Additional Second Lien Obligations.

More Definitions of Second Lien Security Agreements

Second Lien Security Agreements means “Security Agreements”, as defined in the Second Lien Credit Agreement.
Second Lien Security Agreements means (a) the Second Lien Security Agreement, dated as of the date hereof (the “Second Lien Borrower Security Agreement”), executed by Borrower in favor of Lender, as amended, restated, supplemented or otherwise modified from time to time; (b) the Second Lien Third Party Security Agreement, dated as of the date hereof (the “Second Lien Third Party Security Agreement”), executed by each Subsidiary Guarantor in favor of Lender, as amended, restated, supplemented or otherwise modified from time to time; and (c) any similar document executed thereafter pursuant to the terms hereof or otherwise in connection herewith after the Closing Date (including any intellectual property security agreement).
Second Lien Security Agreements means the U.S. Second Lien Security Agreement and the Canadian Second Lien Security Agreement. “Second Priority Liens” means all Liens in favor of the Collateral Agent on Collateral securing the Second Priority Obligations.
Second Lien Security Agreements shall have the meaning set forth in the Amendment Agreements.

  • Second Lien Security Agreement means the Second Lien Security Agreement, dated as of the date hereof, among the Initial Borrower, the Parent Borrower, certain Subsidiaries of the Parent Borrower from time to time party thereto and the Second Lien Notes Collateral Agent, as amended, restated, waived, restructured, renewed, extended, supplemented or otherwise modified from time to time or as replaced in connection with any Refinancing, extension, refunding or replacement of the Second Lien Notes Indenture.

  • First Lien Security Agreement means the “Security Agreement” as defined in the First Lien Credit Agreement.

  • Priority Lien Security Documents means the Priority Credit Agreement (insofar as the same grants a Lien on the Collateral), each agreement listed in Part A of Exhibit B hereto, and any other security agreements, pledge agreements, collateral assignments, mortgages, deeds of trust, control agreements, or grants or transfers for security, now existing or entered into after the date hereof, executed and delivered by the Borrower or any other Grantor creating (or purporting to create) a Lien upon Collateral in favor of the Priority Lien Agent (including any such agreements, assignments, mortgages, deeds of trust and other documents or instruments associated with any Priority Substitute Credit Facility).

  • Canadian Security Agreements means those certain general security agreements and deeds of hypothec dated on or about the date hereof, between each of the Canadian Loan Parties and the Agent.

  • Second Lien Secured Parties means the Indenture Second Lien Secured Parties and the Additional Second Lien Secured Parties.

  • Canadian Security Agreement means that certain Security Agreement, dated as of the Original Effective Date (as amended, amended and restated, supplemented or otherwise modified from time to time), between the Canadian Loan Parties and the Administrative Agent, for the benefit of the Administrative Agent, and the other Lender Parties, and any other pledge or security agreement entered into, after the Original Effective Date by any other Canadian Loan Party (as required by this Agreement or any other Loan Document).

  • Loan and Security Agreement “thereunder”, “thereof” or similar words referring to the Loan Agreement shall mean and be a reference to this Agreement and (b) each reference in the Financing Agreements to a “Note” or “Revolving Credit Note” shall mean and be a Revolving Credit Note as defined in this Agreement.

  • Borrower Security Agreement means the Security Agreement, dated as of the date hereof, between Borrower and the Agent.
