Second Priority Collateral Agent definition

Second Priority Collateral Agent means such agent or trustee as is designated “Second-Priority Collateral Agent” by Second-Priority Secured Parties holding a majority in principal amount of the Second-Priority Obligations then outstanding; it being understood that as of the date of this Agreement, the Initial Second-Priority Collateral Agent shall be so designated Second-Priority Collateral Agent.

Second Priority Collateral Agent means such agent or trustee as is designated as such by the Second Priority Lien Secured Parties pursuant to the terms of any applicable intercreditor agreement among the Second Priority Lien Secured Parties (if then in effect) or by the Second Priority Lien Secured Parties holding a majority in principal amount of the Second Priority Lien Obligations then outstanding (if no such intercreditor agreement is then in effect). As of the Issue Date, the Second Priority Collateral Agent will be the Collateral Trustee.

Second Priority Collateral Agent shall have the meaning ascribed thereto in the Preamble.

Examples of Second Priority Collateral Agent in a sentence

• The Second-Priority Collateral Agent shall not have duties or obligations under or pursuant to this Agreement other than such duties expressly set forth in this Agreement as duties on its part to be performed or observed.

• All notices to the First-Priority Secured Parties and the Second-Priority Secured Parties permitted or required under this Agreement may be sent to the First-Priority Collateral Agent, the Second-Priority Collateral Agent, or any other First-Priority Representative or Second-Priority Representative as provided in the First Lien Note Purchase Agreement, the Second Lien Document, or in the relevant other First-Priority Document or Second-Priority Document, as applicable.

• The Initial Second-Priority Collateral Agent is executing and delivering this Agreement solely in its capacity as such and as Second-Priority Collateral Agent and pursuant to directions set forth in the Second Lien Document; and in so doing, the Second-Priority Collateral Agent shall not be responsible for the terms or sufficiency of this Agreement for any purpose.

• This Agreement shall be binding upon the First-Priority Collateral Agent, the other First-Priority Representatives, the other First-Priority Secured Parties, the Second-Priority Collateral Agent, the Second-Priority Representatives, the other Second-Priority Secured Parties, Holdings, the Issuer, the other Grantors party hereto and their respective permitted successors and assigns.

• The original Grantors hereby covenant and agree to cause each Subsidiary of Holdings which becomes a Grantor after the date hereof to contemporaneously become a party hereto (as a Grantor) by executing delivering a counterpart hereof to the First-Priority Collateral Agent and the Second-Priority Collateral Agent or by executing and delivering an assumption agreement in form and substance reasonably satisfactory to the First-Priority Collateral Agent and the Second-Priority Collateral Agent.

Second Priority Collateral Agent authenticating agent (“Authenticating Agent”), registrar (“Registrar”) and paying agent (“Paying Agent”).

Second Priority Collateral Agent means (i) in the case of the Existing Second Lien Notes Obligations and any Additional Pari Passu Indebtedness (as defined in the applicable Existing Second Lien Notes Document) pursuant to which the administrative agent, trustee or any other similar agent named for such Series becomes an Additional Pari Passu Agent (as defined in the applicable Existing Second Lien Notes Document) pursuant to an Additional Pari Passu Joinder Agreement (as defined in the applicable Existing Second Lien Notes Document), The Bank of New York Mellon, in its capacity as collateral agent, and (ii) in the case of any Series of Future Second Priority Obligations or Future Second Lien Indebtedness Secured Parties that become subject to the First Priority/Second Priority Intercreditor and Subordination Agreement after the Issue Date, the collateral agent, administrative agent, trustee or any other similar agent named for such Series in the applicable joinder to the First Priority/Second Priority Intercreditor and Subordination Agreement.

Second Priority Collateral Agent means Alter Domus Products Corp., in its capacity as collateral agent for the Second Priority Secured Parties, together with its successors and permitted assigns under the Second Priority Documents exercising substantially the same rights and powers (or if there is more than one Second Priority Document, such agent or trustee as is designated “Second Priority Collateral Agent” by the Second Priority Secured Parties holding a majority in principal amount of the Second Priority Obligations then outstanding).
