Seller Business definition

Seller Business means the business and operations of Seller and its Affiliates other than the Business.

Seller Business means the business of Seller and of the Seller Subsidiaries, if any, and will be deemed to include any of the following incidents of such business: income, cash flow, operations, condition (financial or other), assets, properties, anticipated revenues/income and liabilities.

Seller Business means (i) the business and operations of the Seller Group other than the Business, (ii) all other businesses and operations acquired or commenced by any member of the Seller Group at any time after the Closing Date and (iii) any terminated, divested or discontinued business or operation that at the time of termination, divestiture or discontinuation did not solely relate to the Business as then conducted.

• Prior to the Acquisition Date, Seller will cause all trade names and trademarks which are used in the Seller Business to be transferred to Seller, and Members shall cause any such transfers to be promptly recorded in the appropriate offices in order to give effect to, and to reflect, such transfers.

• Seller desires to sell, and Purchaser desires to purchase, all of the assets, properties and rights relating to the Seller Business, other than the Excluded Assets (as defined below), pursuant to this Agreement.

Seller Business means the Exploitation of the Product (or any pharmaceutical product containing the same active ingredient as the Product) outside of the Territory and the Manufacture of the Product worldwide.

Seller Business means the businesses of the Seller and its Subsidiaries (excluding, for the avoidance of doubt, the Purchaser Business) from time to time (together with any and all logical extensions of the business of the Seller and its Subsidiaries).

Seller Business means all of the businesses and operations conducted by the Seller Companies, other than the Business and the APA Transferred Business, at any time, whether prior to, on or after the Closing Date.

Seller Business means (a) the business and operations of providing integrated mail, messaging, and document management systems, services and solutions for organizations of all sizes, (b) all other business (including the business and operations (other than the Business) related to the Company) and (c) except as otherwise expressly provided herein, any terminated, divested or discontinued businesses or operations that at the time of termination, divestiture or discontinuation primarily related to the businesses and operations as described in subsection (a) above as then conducted, but in any event not the Business, the PBGFS Business and businesses and operations related to the Excluded PBGFS Assets (as such term is defined in the Separation and Distribution Agreement).
