Seller Business definition

Seller Business means the business and operations of Seller and its Affiliates other than the Business.
Seller Business means the business of Seller and of the Seller Subsidiaries, if any, and will be deemed to include any of the following incidents of such business: income, cash flow, operations, condition (financial or other), assets, properties, anticipated revenues/income and liabilities.
Seller Business means (i) the business and operations of the Seller Group other than the Business, (ii) all other businesses and operations acquired or commenced by any member of the Seller Group at any time after the Closing Date and (iii) any terminated, divested or discontinued business or operation that at the time of termination, divestiture or discontinuation did not solely relate to the Business as then conducted.

  • Prior to the Acquisition Date, Seller will cause all trade names and trademarks which are used in the Seller Business to be transferred to Seller, and Members shall cause any such transfers to be promptly recorded in the appropriate offices in order to give effect to, and to reflect, such transfers.

Seller Business means the Exploitation of the Product (or any pharmaceutical product containing the same active ingredient as the Product) outside of the Territory and the Manufacture of the Product worldwide.
