Seller Registered IP definition

Seller Registered IP means any and all Seller Owned IP that has been registered, filed, certified or otherwise perfected or recorded with or by any Governmental Authority (including domain name registrars), or any applications for any of the foregoing.

Seller Registered IP shall have the meaning given to such term in Section 3.19(a).

Seller Registered IP has the meaning set forth in Section 4.27(a) hereof.

Examples of Seller Registered IP in a sentence

• There is no outstanding Action or Order challenging or adversely affecting the validity or enforceability of any material Seller Registered IP, or Seller’s ownership of or rights in any material Seller Intellectual Property.

• Except as otherwise indicated on Schedule 3.11(a), all Seller Registered IP is owned exclusively by Seller, and is subsisting, and to the Knowledge of Seller, valid and enforceable.

• Each item of Seller Registered IP is currently in compliance with all applicable requirements (including the payment of any registration, maintenance or renewal fees or the filing of any documents, applications or certificates) and is valid and subsisting.

More Definitions of Seller Registered IP

Seller Registered IP means all Seller Intellectual Property that is issued by, registered with, renewed by, or the subject of a pending application before any Governmental Body or Internet domain name registrar.

Seller Registered IP means all United States, international and foreign: (i) Patents, including applications therefor; (ii) registered Trademarks, applications to register Trademarks, including intent to use applications, and other registrations or applications related to Trademarks; (iii) Copyright registrations and applications to register Copyrights; (iv) domain names; and (v) any other Intellectual Property that is the subject of an application, certificate, filing, registration or other document issued by, filed with, or recorded by, any private, state, government or other public or quasi public legal authority at any time, in each case of the foregoing clauses (i) through (v) that is owned by, filed in the name of, applied for by, filed on behalf of, or otherwise related to Seller.

Seller Registered IP means the United States, international and foreign: (A) Patents (including provisional applications), (B) trademarks registrations, applications to register trademarks, intent-to-use applications, or other registrations or applications related to trademarks, (C) internet domain names, (D) copyright registrations and applications for copyright registration, and (E) any other registrations or applications for registration of IP Rights with any Governmental Authority, in each case owned by, or purported by Seller to be owned by, Seller.

Seller Registered IP shall have the meaning set forth in Section 5.11(a).

Seller Registered IP has the meaning set forth in Section 0.

Seller Registered IP has the meaning given to such term in Section 5.13(a). “Selling Entities” has the meaning given to such term in the Preamble hereto.
