Senior Euro Note Indenture definition

Senior Euro Note Indenture means that certain Note Indenture dated as of the July 6, 2018, as amended and supplemented from time to time, among Energizer Gamma Acquisition B.V., as issuer, the guarantors from time to time party thereto and the “Trustee” referred to therein, under which Energizer Gamma Acquisition B.V. has issued senior unsecured Euro-denominated notes in an original aggregate principal amount of €650,000,000 (the “Senior Euro Notes”).
Senior Euro Note Indenture. “Senior Notes” means, collectively, the Senior Euro Notes, the Existing 2027 Notes, the Existing 2028 Notes and the Existing 2029 Notes. “Senior Notes Indentures” means, collectively, the Senior Euro Note Indenture, the Existing 2027 Notes Indenture, the Existing 2028 Notes Indenture, and the Existing 2029 Notes Indenture. “Senior Secured Leverage Ratio” means, as of any date of determination, the ratio of (a) Consolidated Total Indebtedness as of such date that is secured by a Lien on any asset of the Borrower or any Restricted Subsidiary to (b) Consolidated EBITDA for the period of four consecutive fiscal quarters of the Borrower most recently ended on or prior to such date. “Senior Secured Net Leverage Ratio” means, as of any date of determination, the ratio of (a) Consolidated Total Indebtedness as of such date that is secured by a Lien on any asset of the Borrower or any Restricted Subsidiary minus cash and Cash Equivalents of the Borrower and the Restricted Subsidiaries to the extent not designated as restricted on the consolidated balance sheet of the Borrower and the Restricted Subsidiaries in accordance with GAAP (but including, in any event cash and Cash Equivalents restricted in favor of the Administrative Agent on behalf of the Credit Parties) up to an aggregate amount of $200,000,000 to (b) Consolidated EBITDA for the period of four consecutive fiscal quarters of the Borrower most recently ended on or prior to such date. “Separation Obligations” means indemnification obligations of the Borrower and/or its Restricted Subsidiaries in favor of Edgewell and/or its subsidiaries in connection with the Spin Transaction. “SOFR” means, with respect to any Business Day, a rate per annum equal to the secured overnight financing rate for such Business Day published by the SOFR Administrator on the SOFR Administrator’s Website at approximately 8:00 a.m. (New York City time) on the immediately succeeding Business Day. “SOFR Administrator” means the NYFRB (or a successor administrator of the secured overnight financing rate). “SOFR Administrator’s Website” means the NYFRB’s website, currently at xxxx://xxx.xxxxxxxxxx.xxx, or any successor source for the secured overnight financing rate identified as such by the SOFR Administrator from time to time. “Solvent” means, when used with respect to any Person, that at the time of determination:
