Series B Aggregate Preference Amount definition

Series B Aggregate Preference Amount means the Series B Liquidation Preference Amount multiplied by the total number of shares of Series B Preferred Stock outstanding immediately prior to the Effective Time.
Series B Aggregate Preference Amount means the product obtained by multiplying (A) the Series B Per Share Preference Amount by (B) the total number of shares of Series B Preferred Stock issued and outstanding immediately prior to the Effective Time of the First Merger (including the aggregate number of shares of Series B Preferred Stock issuable upon the exercise of Company Warrants or other direct or indirect rights to acquire shares of Series B Preferred Stock, in each case that are issued and outstanding immediately prior to the Effective Time of the First Merger (whether or not then vested or exercisable and whether or not “in the money”)).
Series B Aggregate Preference Amount is defined in Section 2.10(f)(v).

Series B Aggregate Preference Amount means the product obtained by multiplying (A) the Series B Per Share Preference Amount by (B) the total number of shares of Series B Preferred Stock issued and outstanding immediately prior to the Effective Time of the First Merger.

  • Preference Amount means any amount previously distributed to an Owner on the Obligations that is recoverable and sought to be recovered as a voidable preference by a trustee in bankruptcy pursuant to the United States Bankruptcy Code (11 U.S.C.), as amended from time to time, in accordance with a final nonappealable order of a court having competent jurisdiction.

  • Liquidation Preference Amount means $25,000 per share of Series A Preferred Stock.
