Series C Investor definition

Series C Investor has the meaning set forth in the Preamble.

Series C Investor means a Holder of Series C Preferred Stock.

Series C Investor means an "Investor" as defined in the Series C Registration Rights Agreement.

Examples of Series C Investor in a sentence

• If the Company elects to purchase fewer than all of the Securities offered, each Series C Investor shall be entitled to acquire a pro rata portion of the balance of the Securities remaining, determined in accordance with their relative Series C Proportionate Percentages.

• If any Series C Investor elects to acquire less than such Investor’s pro rata portion of the available Securities, the other Series C Investors may acquire a pro rata portion of the balance of the remaining Securities, which is equal to the proportion that such other Series C Investor’s Series C Proportionate Percentage bears to the Series C Proportionate Percentage of all such other Series C Investors who wish to acquire any of the balance of the remaining Securities.

• Subject to the terms and conditions specified in this Section 2.2, the Company hereby grants to each Major Holder, each Series C Investor and each Series B Investor (collectively, the “ROFR Holders”) a right of first refusal with respect to future sales by the Company of Additional Shares of Common Stock (as defined in the Certificate of Incorporation).

• For such purpose, an "Affiliate" of any Series B Investor, Series C Investor or Investor (or any such transferee) means any general or limited partner of such Series B Investor, Series C Investor or Investor (or transferee) if it is a partnership, or any person or entity that, directly or indirectly, through one or more intermediaries, controls, or is controlled by, or is under common control with, such Series B Investor, Series C Investor or Investor or transferee.

• Each Series C Investor hereby acknowledges and confirms that its Series C Anti-dilution Right has been fully and sufficiently compensated by the Company’s such adjustment of the then effective Series C Conversion Price, and it will not further request to exercise any Series C Anti-dilution Right in connection with the issuance of the Series D Shares.

More Definitions of Series C Investor

Series C Investor means each person whose name and address is set out in Part 1 of Schedule 1 and any other holder of Series C Shares from time to time who becomes a party to this Agreement by signing a Deed of Adherence in accordance with clauses 9.2 and 9.3;

Series C Investor means the Person who, together with its investment funds, separate accounts, and other entities owned (in whole or in part), controlled, managed, and/or advised by it or its Affiliates, held on the Closing Date the majority of the Series C Preferred Stock issued on the Closing Date, together with such Holder’s investment funds, separate accounts, and other entities owned (in whole or in part), controlled, managed, and/or advised by it or its Affiliates.

Series C Investor means any one of them;

Series C Investor shall be amended in its entirety and, from and after the date hereof, shall mean, collectively, (i) the purchasers of Series C Preferred Stock pursuant to the Series C Purchase Agreement, including the Additional Series C Investors (as defined in the First Amendment), (ii) the purchasers of Units pursuant to the Unit Purchase Agreements, and (iii) Silicon Valley Bank;

Series C Investor means each or any of Baidu Capital, West City, WP, Haixia, Haitong, New Margin Capital, Image Frame, Palace, Total Prestige, Bright Sky, TPG, Bluestone, Zhide, ChinaEquity, IDG, Honor Best, Temasek, Lenovo, Champion Elite, CIIT, Guangfa, Bluefuture, Hanfor, CIB, Blissful Days, UBS, Keen Eagle, Oceanwide and any Person who purchases Series C Preferred Shares from time to time, as long as such investor continues to hold any Series C Preferred Shares.

Series C Investor means Xxxxxxx X. Xxxxxxx.

Series C Investor has the meaning ascribed to them in introductory paragraph H of this Agreement, which shall include the Lenders.
