Series F Conversion Price definition

Series F Conversion Price. (as defined in the Series F Certificate of Determination) is $1.40, as adjusted pursuant to Section 7(c) of the Series F Certificate of Determination;
Series F Conversion Price means a price that initially equals to the Original Series F Issue Price, and shall be adjusted from time to time as provided in Clause (d)(v) of the Memorandum.
Series F Conversion Price means, as of the Restatement Date, $0.20833, and will be adjusted from time to time thereafter in accordance with this Section 9.5. All references to the Series F Conversion Price are to the Series F Conversion Price as so adjusted.

  • Such initial Series F Conversion Price, and the rate at which shares of Series F Preferred Stock may be converted into shares of Common Stock, shall be subject to adjustment as provided below.

Series F Conversion Price means, as of January 15, 2000, $8.52 and, thereafter is subject to adjustment for stock splits, reverse splits, stock dividends (other than a Series F PIK Election) and stock combinations of the Series F Preferred and as provided in Section 3.6.7. Notwithstanding the foregoing, the Series F Conversion Price shall not be less than the par value of one share of Common Stock.
Series F Conversion Price means the price obtained by dividing $1,000 by 14,285, and shall be subject to adjustment as set forth in Article III(e)(7) below. -11-
