Service Provider Member definition

Service Provider Member means any Member that holds Units that were issued in connection with the performance of services as an employee or other service provider to Corporation, the Company or any of their respective Subsidiaries (including, for the avoidance of doubt, Common Units that were purchased pursuant to the terms of an Award Agreement with an employee or other service provider), whether or not such Member continues to provide services on or after the date hereof.

Examples of Service Provider Member in a sentence

  • For the avoidance of doubt, upon a Termination of Service or termination of “Employment” of a Service Provider Member, all Unvested portions of any Units granted to or in respect of such Service Provider Member (whether or not held by such Service Provider Member, a direct or indirect Transferee of such Unit(s) or any other Person) shall be forfeited pursuant to the applicable Award Agreement.

  • Local Service Provider (LSP means the LEC that provides retail local Exchange Service to an End User. The LSP may or may not provide any physical network components to support the provision of that End User’s service.
