Servicing Transition Expenses definition

Servicing Transition Expenses means all reasonable, out-of-pocket costs and expenses actually incurred by the Successor Servicer in connection with the assumption of servicing of the Pledged Receivables by a Successor Servicer after the delivery of a Termination Notice to the Servicer.
Servicing Transition Expenses means reasonable costs and expenses (including Attorney Costs) incurred by or payable to a Successor Servicer in connection with the transfer of servicing to a Successor Servicer following the Servicing Transfer Date, including, without limitation, costs and expenses incurred in connection with transferring all necessary servicing files and records relating to the Contracts, Receivables and Related Security and amending this Agreement to reflect the transfer of servicing, which shall be approved in writing by the Administrative Agent.
Servicing Transition Expenses means, collectively, any costs and expenses incurred by the Indenture Trustee, the RMBS Master Servicer, the Series 2005-4A HELOC Back-Up Servicer, the Series 2005-4A HELOC Servicer, the Series 2005-4A RMBS Servicer or the Series 2005-4A RMBS Master Servicer in connection with any succession by any such party to, or the related appointment by such party pursuant to its successor servicing responsibilities of a successor to, the RMBS Servicer, the RMBS Master Servicer, the 2005-4A HELOC Servicer, the 2005-4A HELOC Back-Up Servicer, the 2005-4A RMBS Subservicer, the 2005-4A HELOC Subservicer, the 2005-4A RMBS Servicer or the Series 2005-4A Master Servicer, as the case may be, pursuant to the applicable terms of the Servicing Agreements or any of the Series 2005-4A Servicing Agreements. For the avoidance of doubt, such Servicing Transition Expenses shall not include the costs and expenses of the defaulting party being terminated.

Examples of Servicing Transition Expenses in a sentence

  • On the first Interest Payment Date after the occurrence and during the continuance of an Event of Default, the Paying Agent shall at the written direction of the Administrative Agent transfer into the Collection Account for application on such Interest Payment Date in accordance with Section 2.12(b) the amount by which the amount in the Reserve Account exceeds the excess, if any, of $100,000 over the aggregate amount previously withdrawn from the Reserve Account to pay Servicing Transition Expenses.

  • At any time after the giving of a Termination Notice by the Administrative Agent, the Paying Agent shall at the written direction of the Administrative Agent withdraw an amount from the Reserve Account required to pay Servicing Transition Expenses during the Servicing Transition Period (provided, for the avoidance of doubt, only one such withdrawal may be made from the Reserve Account to pay Servicing Transition Expenses).

  • Transition Expenses The reasonable costs (including reasonable attorneys’ fees) of the Backup Servicer incurred in connection with the transferring the servicing obligations under this Agreement and amending this Agreement to reflect such transfer in an amount not to exceed $100,000.

  • Servicing Transfer Costs All reasonable costs and expenses incurred by the Trustee in connection with the transfer of servicing from a predecessor servicer, including, without limitation, any costs or expenses associated with the complete transfer of all servicing data and the completion, correction or manipulation of such servicing data as may be required by the Trustee to correct any errors or insufficiencies in the servicing data or otherwise to enable the Trustee to service the Mortgage Loans properly and effectively.
