Settlement Disruption Amount definition

Settlement Disruption Amount means, in respect of each Product, an amount in the Settlement Currency equal to the pro rata proportion of the market value of such Product on or about the Settlement Disruption Date (which shall take into account where some but not all of the Underlyings comprising the Entitlement have been duly delivered pursuant to General Condition 6.2 (Settlement by Delivery of the Entitlement) and the value of such Underlyings). Such amount shall be determined by reference to such factors as the Calculation Agent considers to be appropriate including, without limitation:

  • Lastly, you should be aware that, in certain circumstances, where we are obliged to physically deliver one or more Shares in order to redeem your Securities, we may elect instead to redeem your Securities by way of payment of a cash amount (referred to in the terms and conditions as the 'Physical Settlement Disruption Amount').

  • In the case of Securities providing for Physical Settlement, the Guarantor is obligated only to make payment of the Physical Settlement Disruption Amount in lieu of delivering any Deliverable Assets.

  • GSG is only obliged to pay the Physical Settlement Disruption Amount instead of delivery of the Deliverable Assets if the Issuer has failed to deliver the Physical Settlement Amount.

  • The Guarantor has the right in its sole and unfettered discretion pursuant to the Guaranty to discharge any obligation to deliver the Physical Redemption Amount or, as the case may be, Deliverable Obligations by payment of the Physical Settlement Disruption Amount instead of delivery of the Physical Redemption Amount or, as the case may be, Deliverable Obligations.

  • The payment obligations and (subject to the pa ra graph immedia tely below) delivery obliga tions of the Issuer in respect of the Instruments issued by GSW a re gua ranteed by GSI pursuant to the English law Gua rantee, as set out in Genera l Instrument Condition 1(e) (Guarantee).The Guarantor is only obliged to pay the Physical Settlement Disruption Amount instead of delivery of the Deliverable Assets if GSW has failed to deliver the Physical Settlement Amount.

  • GSG is only obliged to pay the Physical Settlement Disruption Amount instead of delivering the Deliverable Assets if the relevant Issuer fails to deliver the Physical Settlement Amount.

  • GSI is only obliged to pay the Physical Settlement Disruption Amount instead of delivering the Deliverable Assets if the Issuer fails to satisfy its delivery obligations under the Instruments.

Related to Settlement Disruption Amount

  • Settlement Disruption Event means each of the following events, as determined by the Calculation Agent in its sole discretion acting in good faith and in a commercially reasonable manner:

  • Gross Settlement Amount means $633,000.00 which is the total amount Defendant agrees to pay under the Settlement except as provided in Paragraph 9 below. The Gross Settlement Amount will be used to pay Individual Class Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees, Class Counsel Expenses, Class Representative Service Payment and the Administrator’s Expenses.

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;

  • Settlement Price means the agreed upon price at which to purchase and sell a specified type and quantity of a commodity.

  • Market Disruption Event means, for the purposes of determining amounts due upon conversion (a) a failure by the primary U.S. national or regional securities exchange or market on which the Common Stock is listed or admitted for trading to open for trading during its regular trading session or (b) the occurrence or existence prior to 1:00 p.m., New York City time, on any Scheduled Trading Day for the Common Stock for more than one half-hour period in the aggregate during regular trading hours of any suspension or limitation imposed on trading (by reason of movements in price exceeding limits permitted by the relevant stock exchange or otherwise) in the Common Stock or in any options contracts or futures contracts relating to the Common Stock.

  • Auction Amount has the meaning assigned to such term in the definition of “Dutch Auction”.
