Seven Seas Charter definition

Seven Seas Charter means the bareboat charter of the Ship by the Borrower as owner to the Seven Seas as charterer which shall be entered into no later than the Delivery Date in the form of draft approved by the Agent before the date of this Agreement with such reasonable changes thereto as the Agent may, with the authority of the Majority Lenders, approve from time to time.
Seven Seas Charter means the bareboat charter of the Ship by the Borrower as owner to Seven Seas as bareboat charterer, entered into no later than the November 2023 Effective Date in a form of draft approved by the Agent before the date of the November 2023 Amendment Agreement which, with the mutual agreement of the parties thereto, rescinds and replaces the bareboat charter dated on the Delivery Date and made between the Owner and the Charterer in respect of the Ship.

  • Bareboat Charter means the bareboat charter agreement to be executed by the Effective Date by the Borrower as owner and the Charterer as bareboat charterer.

  • Charter means the Corporation’s certificate or articles of incorporation, articles of association, or similar organizational document.

  • Time Charter means the time charter party between Owners as owners and Stena Bulk AB (the "Time Charterers") as charterers effective attached hereto as Annex 1. "Agreement" means Part I, Part II, including Additional Clauses 21-31 as well as Annex 1.

  • Charter Agreement means an agreement made in accordance with Section 53G-5-303 that authorizes the operation of a charter school.

  • Memorandum and Articles of Association means the Memorandum and Articles of Association of the Company, as the same may be amended from time to time.

  • Articles of Association means the Articles of Association of the Company, as amended and restated from time to time.

  • Parent Charter means the Certificate of Incorporation of Parent, as from time to time amended.

  • Charter school means an independent public school

  • Certification of Incorporation means the restated certificate of incorporation of the Corporation, as it may be amended from time to time, and shall include this Certificate of Designations.

  • Company Charter means the certificate of incorporation of the Company, as amended.

  • Charters means Kitty Hawk Charters, Inc., one of the Debtors.

  • Charter Assignment means a specific assignment of each Extended Employment Contract required to be executed hereunder by any Borrower in favour of the Security Trustee (including any notices and/or acknowledgements and/or undertakings associated therewith) in such form as the Agent and the Majority Lenders may require in their sole discretion;

  • Charter Service means, but does not include demand response service to individuals:

  • Operating Agreement means this Operating Agreement as originally executed and as amended from time to time.

  • Amended and Restated Certificate of Incorporation means the Amended and Restated Certificate of Incorporation of the Company, as in effect as of the Effective Date.

  • Articles of Incorporation means the Articles of Incorporation of the Company, as amended from time to time.

  • Instrument of Incorporation means the instrument of incorporation of the ICAV;

  • Safety Management Certificate has the meaning given to it in the ISM Code.

  • Memorandum of Association means the memorandum of association of the Company, as amended or substituted from time to time;

  • Articles of Agreement means the Articles of Agreement of the Bank.

  • the Charter means the Charter or Letters Patent under the Great Seal of Ireland bearing date the 10th day of May 1783 and granted by his late Majesty King George the Third;
