Share Mortgage definition

Share Mortgage means a share mortgage executed or to be executed in favor of Agent by each Subsidiary of Parent which owns any shares in any other Subsidiary of Parent incorporated in England and Wales in respect of such shares.

Share Mortgage means that certain Equitable Share Mortgage entered into pursuant to Section 5.13, by and among Kaman Aerospace Group, Inc. and the Administrative Agent, as amended and in effect from time to time.

Share Mortgage means the charge over the Shares to be granted to the Seller (as chargee) by the Purchaser (as chargor) as security for the Purchaser's performance under this Agreement;

• With effective from the Amendment Date, other than as set forth herein and upon completion of the matters set out in paragraph (b) below, the Cayman Debenture and the Cayman Share Mortgage shall be terminated and any and all security interests or pledges granted thereunder or by Cayman Sub under the Loan Agreement shall be released and any and all Obligations of Cayman Sub under the Loan Agreement, the Cayman Debenture and the Cayman Share Mortgage shall be discharged in full and all assets reassigned.

• Borrower has full power and authority to create a first lien on the Shares and no disability or contractual obligation exists that would prohibit Borrower from pledging the Shares pursuant to this Agreement or the Cayman Share Mortgage or any other applicable Loan Document.

• This Agreement (including the schedules hereto) and the Share Mortgage represent the entire understanding of the Parties with respect to the subject matter hereof and supersedes all previous understandings, written or oral.

• I also irrevocably undertake to vote in favour of any resolution approving that any Shares (as defined in the Share Mortgage) comprised in the Mortgaged Assets (as defined in the Share Mortgage) be registered in your name or in the name of your nominees or in the name of any purchaser of those Shares or its nominee in accordance with the provisions of the Share Mortgage (including without limitation, Clause 6 (Delivery of documents)) referred to above.

• If the Purchaser fails to perform any of its obligations under or in connection with this Agreement then the Seller's sole remedy is to enforce its Share Mortgage over the Shares.

More Definitions of Share Mortgage

Share Mortgage means the share mortgage (incorporating floating charge) referred to in paragraph 2 of Schedule 4;

Share Mortgage means, collectively, (a) the Mortgage of Shares dated the Closing Date, substantially in the form of Exhibit H-3, executed by AHL, pursuant to which, among other things, AHL grants a mortgage to the Administrative Agent and the Lenders in the shares of European Holdings representing 65% of the outstanding shares of stock of European Holdings, and (b) the Mortgage of Shares dated the Closing Date, substantially in the form of Exhibit H-4, executed by European Holdings, pursuant to which, among other things, European Holdings grants a mortgage to the Administrative Agent and the Lenders in (i) the shares of ADI U.K., representing 100% of the outstanding shares of stock of ADI U.K. and the shares of ADI Germany, representing 100% of the outstanding shares of stock of ADI Germany, in each case, as amended, modified or supplemented from time to time.

Share Mortgage means this share mortgage;

Share Mortgage means the share mortgage in the form set out in Schedule 4;

Share Mortgage means the Share Mortgage Agreement between Lender and Borrower dated on or about the date of this Agreement.

Share Mortgage means the Existing Share Mortgage, as amended by the Share Mortgage Amendment, and as the same may hereafter be further amended, restated, or otherwise modified in accordance with its terms.

Share Mortgage means the Deed of Mortgage of Securities in favour of the Security Agent dated 1 July 1997 granted by Salstel Holdings, Salstel Investments and UIH Austar, Inc. in respect of the whole of the share capital in CTV and STV and certain other property.
