Shareholder Approval Condition definition

Shareholder Approval Condition shall have the meaning set out in Clause 4.1.1(b).
Shareholder Approval Condition means any condition set out in paragraphs (a) and (g) of Part A of Appendix I to the Announcement or, following an Agreed Switch, any equivalent condition; Supplemental Prospectus means any supplemental prospectus required to be published in connection with Admission;

  • Subject to all the terms and conditions set forth in this Agreement and the Plan, including Section 1, the Company shall issue to the Grantee a number of Shares equal to the number of Vested Units (or if the Shareholder Approval Condition is not met, the cash equivalent thereof) no later than sixty (60) days after the Vesting Date.

Shareholder Approval Condition has the meaning given thereto in Clause 5.1.1. “Shares” has the meaning given thereto in Recital (A).
