Shareholder Percentage means, as of any date, the quotient, expressed as a percentage, obtained by dividing (x) the number of votes the Shareholder and its Affiliates are entitled to vote at that time in the election of members of the Board of Directors attributable to Beneficial Ownership of Equity Interests in Parent (assuming no conversion or exercise of any Equity Interests), by (y) the total number of votes outstanding that are entitled at that time to vote in the election of members of the Board of Directors by the holders of the outstanding Equity Interests in Parent (assuming no conversion or exercise of any Equity Interests).

Shareholder Percentage means with respect to any Shareholder, 100% multiplied by a fraction, the numerator of which shall be the number of shares of Stock owned by such Shareholder immediately prior to the Effective Time and the denominator of which shall be the total number of shares of Stock outstanding immediately prior to the Effective Time.

Shareholder Percentage means, with respect to any Shareholder as of any time, the percentage of outstanding Shares owned by such Shareholder at such time, calculated on a fully-diluted basis.
