Shenzhen Equipment definition

Shenzhen Equipment means the Transferred Equipment located in Shenzhen, People’s Republic of China. Notwithstanding the foregoing, the Parties acknowledge that the purchase price allocated to the Shenzhen Equipment is being paid in full by the Purchaser on the Closing Date and the Seller and its Affiliates have conveyed equitable title pursuant to this Agreement.

Shenzhen Equipment means the machinery, laboratory and other equipment, tools and other tangible personal property set forth under the heading “Shenzhen” in Schedule 2.1 to the ST ACA Disclosure Letter.
