Transferred Equipment. Each component of the Transferred Equipment has been maintained in accordance with normal industry practice and in accordance with all practices required by the FDA or other Governmental Bodies, is adequate and suitable in all respects for its intended use and is in good and safe operating condition and repair.

Transferred Equipment. With effect from the Household Waste Recycling Site Service Commencement Date, each of the Councils shall transfer (free of charge) to the Contractor all their respective rights, title and interest in and to the Transferred Equipment, and undertakes (to the extent that any further steps may be required to transfer any such right, title and interest) to execute such further documentation as may prove necessary in order to effect such transfer.
Transferred Equipment. All of Cricket’s right, title, and interest in and to any Equipment that remains located at the Site (the “Transferred Equipment”) shall be deemed to be automatically transferred to Lessor free and clear of all liens and encumbrances, as of November 9, 2015 (the “Transfer Date”). Lessor agrees to assume all of the rights and obligations of Cricket, including removal, for the Transferred Equipment.
Transferred Equipment. Joplin hereby Transfers to Kirksville, certain property (“Transferred Equipment”) more particularly described as: 2015 ROUSENBAURER AIRWOLF INDEX A ARFF TRUCK VIN# 0XXXXXXX0XX000000, along with the Grant Assurance responsibilities as required by the Federal Aviation Administration for AIP Grant 3-29-0037-031-2013 issued to the Joplin Regional Airport/City of Joplin as it pertains to the above referenced equipment.
Transferred Equipment. The Transferred Equipment is in good operating condition (ordinary wear and tear expected), except for instances, individually or in the aggregate, that would not reasonably be expected to have a Business Material Adverse Effect.
Transferred Equipment. Except as set forth in Schedule 3.7 of Seller's Disclosure Schedules or as indicated on Exhibit 2.1(a)(iii), (a) as of the date of this Agreement, each material item of Transferred Equipment is in good repair and good operating condition suitable for its current use, ordinary wear and tear excepted and (b) all Transferred Equipment used in connection with the operation of the Purchased Assets is in the possession of Seller or its Affiliates.
