Shire Party has the meaning given to it in Section 5.11. “Shire Product” means all formulations and dosages of CARBATROL® (carbamazepine) approved by the FDA, but excluding EQUETRO®. “Term” has the meaning given to it in Section 13.1. “Territory” means the United States of America but excluding Puerto Rico and other U.S. territories and possessions. “Third Party” means any person or entity who or which are neither a Party nor an Affiliate of a Party. “Trademark” means U.S. Trademark Registration No. 1,975,246 for “CARBATROL”. 5

  • Novartis shall have the meaning set forth in the Preamble.

  • Shire means Shire of Augusta Margaret River

  • PTI means Preliminary Toxicity Investigation. Up to a 30-day period where the permittee investigates the cause(s) of a whole effluent toxicity exceedance and if the toxicity is known, includes a proposal for its elimination.

  • BMS means the Company, all related companies, affiliates, subsidiaries, parents, successors, assigns and all organizations acquired by the foregoing.

  • Lilly has the meaning set forth in the Preamble.

  • FOIA Party means a Person that, in the reasonable determination of the Board of Directors, may be subject to, and thereby required to disclose non-public information furnished by or relating to the Company under, the Freedom of Information Act, 5 U.S.C. 552 (“FOIA”), any state public records access law, any state or other jurisdiction’s laws similar in intent or effect to FOIA, or any other similar statutory or regulatory requirement.

  • BRRD Party means any party to this Agreement subject to the Bail-in Legislation.

  • Third Party Licensor means the relevant licensor of any Third Party Data or any Third Party Trade Xxxx;

  • Sublicensee means a third party to whom LICENSEE grants a sublicense of certain rights granted to LICENSEE under this Agreement.

  • Lender Recipient Party means collectively, the Lenders, the Swing Line Lender and the L/C Issuers.

  • Selling Party has the meaning set forth in the definition of “Net Sales.”

  • Elan means Elan Corp and its Affiliates.

  • Licensor means the copyright owner or entity authorized by the copyright owner that is granting the License.

  • Alliance Partner means "Flatworld Trading Pvt Ltd ", who has entered into an alliance agreement with Axis Bank for purpose of providing the Offer.
