Sigma Improvements definition

Sigma Improvements means (a) Improvements (other than Joint Improvements) that are made by one or more employees, consultants, or independent contractors of Sigma or of any entity while it is a Sigma Affiliate; and (b) Improvements made by Sublicensees, to the extent Controlled by Sigma or any Sigma Affiliate. Notwithstanding the foregoing, an Improvement that satisfies the foregoing definition solely because it was made by one or more employees, consultants, or independent contractors of an entity while it is a Sigma Affiliate shall be deemed not to be a Sigma Improvement if Sigma can demonstrate by competent evidence that such entity had no access to the Sangamo Technology or to any other Improvements that are Sigma Improvements.
Sigma Improvements means all modifications, variations, revisions, new generations and new models of the SIGMA BIOMATERIALS, SIGMA TECHNOLOGY and/or SIGMA PRODUCTS which relate or have consequence with respect to the LICENSED PRODUCT in any of the following ways: (a) improves performance of the LICENSED PRODUCT; (b) reduces the cost of materials or components for the LICENSED PRODUCT; (c) reduces production, manufacturing or associated costs of the LICENSED PRODUCTS;

  • Licensee Improvements means any enhancement to or modification or improvement of the Licensed Patents and/or the Proprietary Information created by or on behalf of Licensee and/or any of its subsidiaries.

  • Substitute Improvements means the substitute or additional improvements of the Issuer described in Article V hereof.
