Examples of SITC Group in a sentence

  • Subject to Section 7.1(c), eligible Employees of the SITC Group will continue to participate in the SITC Annual Incentive Program through and after the Distribution Date in accordance with the terms and conditions of the SITC Annual Incentive Program.

  • Notwithstanding anything in this Agreement to the contrary, but without limiting any recovery expressly provided by Section 7.2, neither CURB or any member of the CURB Group, on the one hand, nor SITC or any member of the SITC Group, on the other hand, shall be liable under this Agreement to the other for any punitive or exemplary damages in connection with the transactions contemplated hereby (other than any such Liability with respect to a Third-Party Claim).

  • Each member of the CURB Group shall execute and deliver to SITC (or such member of the SITC Group as SITC shall designate) any power of attorney or other similar document reasonably requested by SITC (or such designee) in connection with any Tax Contest (as to which SITC is the Controlling Party) described in this Section 9.

  • In furtherance of the foregoing, the Parties agree that the procedures set forth on Schedule 2.14(b) shall determine the allocation among the SITC Group, on the one hand, and CURB Group, on the other hand, of any amounts due to or owed from tenants on account of such reconciliation for the calendar year in which the Distribution occurs.

  • At and after the Effective Time, a member of the CURB Group will be solely responsible and liable for all Employment Agreements listed on Schedule 7.3 hereto (each, a “CURB Employment Agreement”), and the SITC Group will have no obligations or Liabilities with respect to any CURB Employment Agreement.

  • CURB shall not make, and shall not permit any member of the CURB Group to make, any claim or demand, or commence any Action asserting any claim or demand, including any claim of contribution or any indemnification, against SITC or any other member of the SITC Group, or any other Person released pursuant to Section 4.1(a), with respect to any Liabilities released pursuant to Section 4.1(b).

  • In any Mixed Action, each of the SITC Group and the CURB Group may pursue separate defenses, claims, counterclaims or settlements to those claims relating to the SITC Business or the CURB Business, respectively; provided that each Party shall in good faith make commercially reasonable efforts to avoid adverse effects on the other Party.

  • SITC shall not make, and shall not permit any other member of the SITC Group to make, any claim or demand, or commence any Action asserting any claim or demand, including any claim of contribution or any indemnification against CURB or any other member of the CURB Group, or any other Person released pursuant to Section 4.1(b), with respect to any Liabilities released pursuant to Section 4.1(b).

  • SITC will be responsible for and will pay any awards earned by eligible Employees of the SITC Group according to the terms of the SITC Annual Incentive Program.

Related to SITC Group

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of SpinCo, after giving effect to the Reorganization.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Target Companies means the Company and its Subsidiaries.

  • Women Owned Business Enterprise or "WBE" means a firm awarded certification as a women owned and controlled business in accordance with City Ordinances and Regulations as well as a firm awarded certification as a women owned business by Cook County, Illinois. However, it does not mean a firm that has been found ineligible or which has been decertified by the City or Cook County.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Target Group means the Target and its Subsidiaries.

  • Group Companies means the Company and its Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Ethnic Group means a group of people who identify with each other through a common heritage including language, culture, and often a shared or common religion and or ideology that stresses ancestry.

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.
