S&P CDO Evaluator definition

S&P CDO Evaluator means a dynamic, analytical computer programme developed by S&P and used to determine the credit risk of a portfolio of debt securities and provided to the Counterparty and the Portfolio Manager on or before the date hereof, as such programme may be modified by S&P from time to time;
S&P CDO Evaluator means a dynamic, analytical computer programme developed by S&P, to be used by the Portfolio Manager (acting in good faith and a commercially reasonable manner) to determine the risk of Credit Events occurring under the Reference Portfolio and provided to the Portfolio Manager by S&P on or before the Issue Date, as it may be modified by S&P from time to time.
S&P CDO Evaluator means the dynamic, analytical computer model developed by S&P, S&P CDO Evaluator Version 3.2, and used to estimate default risk of Reference Entities in a Reference Portfolio and provided to the Portfolio Manager on or before the Issue Date. The S&P CDO Evaluator calculates the cumulative default rate of the Reference Portfolio consistent with a specified benchmark rating level based upon S&P’s proprietary corporate debt default studies. In calculating a S&P Scenario Loss Rate, the S&P CDO Evaluator considers each Reference Entity’s S&P Rating, the number of Reference Entities in the Reference Portfolio, the Reference Entity and industry concentrations in the Reference Portfolio using the S&P industry categorizations and calculates a cumulative default rate based on the statistical probability distributions of defaults of the Reference Entities.
