Reference Entities definition

Reference Entities means an entity which at any time forms part of the Reference Portfolio in accordance with the provisions hereof and the Portfolio Management Agreement.
Reference Entities means BNP Paribas, S.A., Xxxxxxx Xxxxx International, ING Groep, N.V. and Natixis Bank, S.A. The Subsidiary Substitute Interest Rate determined in accordance with the foregoing shall be applicable as from the date of the due determination thereof. In the event that any of the Reference Entities were to merge with, or were to be taken-over by, any other credit entity, for the purposes of this Agreement the newly resultant or acquiring entity shall substitute the merged or acquired entity. If, on the other hand, the excision or segregation of any of the Reference Entities were to take place, all of the financial entities resulting from the excision or segregation that continue to be credit entities shall be considered to be Reference Entities. In the event that any of the Reference Entities were to be wound-up, cannot provide any reference rate for any reason or were to cease to exist for any reason other than the reasons provided for in the preceding paragraph, as well as if any of the Reference Entities were to be incorporated into this Agreement in the capacity of Lenders, the Agent shall designate the entity that is to replace the Reference Entity in question, and shall duly notify such designation to the Lenders and to the Borrower. Leaving aside the situations of mandatory substitution which are set out in the preceding paragraph, any of the Reference Entities may be substituted for another entity by means of agreement between the Borrower and the Agent.
