Special Affiliate any Affiliate of the U.S. Borrower (a) as to which the U.S. Borrower holds, directly or indirectly, (i) power to vote 20% or more of the securities having ordinary voting power for the election of directors of such Affiliate or (ii) a 20% ownership interest in such Affiliate and (b) which is engaged in business of the same or related general type as now being conducted by the U.S. Borrower and its Subsidiaries.
Special Affiliate means, with respect to Customer, (i) Customer's Affiliates, (ii) any other entity in which Customer holds, either directly or indirectly, at least an [*Material Omitted and Separately Filed Under an Application for Confidential Treatment] equity interest, or (iii) any entity which operates or distributes, or is authorized to operate or distribute, an AOL Information Service.
Special Affiliate has the meaning given in Section 4.1(a).
Examples of Special Affiliate in a sentence
For purposes of this Section 4.1(a), "Special Affiliate" shall mean ----------------- any Affiliate or other entity in which a Party or the Xxxxxxxx Family holds a direct and/or indirect ownership interest of at least thirty-five percent (35%), or, in the case of RSL-LA or GLA, in which ODC or the Xxxxxxxx Family holds a direct and/or indirect ownership interest of greater than fifty percent (50%).
The General Partner may determine the timing of the Special GP Distributions and Special Affiliate Distributions to which it or its Affiliate is entitled.
The Special GP Distribution and Special Affiliate Distribution shall be determined on an estimated basis and adjusted thereafter when such amount is finally determined.

Special Affiliate has the meaning given in Section 4.1(a). -----------------
Special Affiliate means, as to any Person, (i) any Person directly or indirectly owning, controlling, or holding, with the power to vote, 10% or more of the outstanding voting securities of such Person; (ii) any Person 10% or more of whose outstanding voting securities are directly or indirectly owned, controlled, or held, with power to vote, by such other Person; (iii) any Person, directly or indirectly, controlling, controlled by, or under common control with such Person; (iv) any executive officer, director, trustee or general partner of such Person; and (v) any legal entity for which such Person acts as an executive officer, director, trustee or general partner.
Special Affiliate means JM Bullion, Inc. a Delaware corporation, Silver Gold Bull, an Alberta corporation, Stack’s-Bowers Numismatics, LLC, a Delaware corporation, and any other Affiliate of the Borrower requested by the Borrower to be a Special Affiliate, subject to the prior written approval of the Required Lenders, so long as in each case, such Person or the Borrower shall not have the power, directly or indirectly, to vote more than 30% of the securities having ordinary voting power for the election of the Board of Directors of the other.

For the avoidance of doubt, a link on the homepage of a third-party Access Service to a non-Access Service and/or the promotion of the non-Access Service as one of the services available to the end users of the Access Service shall not render the non-Access Service(s) an "Access Service" for purposes of this Section 4.1(a). (All prohibited activities under this Section 4.1(a) shall be collectively referred to as "RESTRICTED ACTIVITIES".) For the avoidance of doubt, (i) with respect to PC Access Services, TV Access Services and Wireless Access Services, a Stockholder shall not be deemed to be engaging in a Restricted Activity, regardless of whether the applicable Person is a Significant Competitor or together with other Persons is an Aggregated Significant Competitor, unless the Stockholder has a direct and/or indirect ownership interest in the applicable Person or Persons of at least thirty five percent (35%) and (ii) ODC shall not be deemed to be engaging in a Restricted Activity with respect to GLA and/or RSL-LA, regardless of whether GLA or RSL-LA is a Significant Competitor or taken together are Aggregated Significant Competitors, unless ODC or the Cisnxxxx Xxxily has a direct and/or indirect ownership interest in GLA and/or RSL-LA, as applicable, of greater than fifty percent (50%).
Special Affiliate means collectively, Xxxxx’x-Xxxxxx, Pinehurst Coin Exchange, a North Carolina corporation, Sunshine Minting, Inc., an Idaho corporation, Texas Precious Metals, LLC, a Texas limited liability company, APS Investment, LLC, a Delaware limited liability company, Trossachs Holdings, Ltd., incorporated under the laws of England and Wales, and any other Affiliate of Borrower requested by Borrower to be a Special Affiliate (subject to the prior written approval of the Required 37 Lenders), so long as (and only until) in each case (whether specifically enumerated above or approved by the Required Lenders as set forth above), such Person or Borrower shall not have the power, directly or indirectly, to vote more than 49% of the securities having ordinary voting power for the election of the Board of Directors (or similar governing body) of the other.
Special Affiliate means (other than the Company or any of its Subsidiaries) (i) any physician who, or entity which, directly owns any capital stock or other equity interests (including membership or partnership interests) in any Subsidiary of the Company, or (ii) each medical director of each Dialysis Center.
