Special Incentive Award definition

Special Incentive Award means the amount of special incentive compensation that a Participant may be awarded as determined pursuant to Articles VII and VIII.
Special Incentive Award has the meaning set forth in Section 2 hereunder.
Special Incentive Award means any compensation paid to a Participant under The Perkin-Elmer Corporation Division Long-Term Incentive Plan, the Performance Unit Bonus Plan, or any other compensation plan of the Company or any Subsidiary designated by the Committee.

Examples of Special Incentive Award in a sentence

  • The amount of such Special Incentive Award shall be determined pursuant to Article VIII.

  • A Special Incentive Award may be paid at any time, in the discretion of the Committee, but in no event later than March 15 of the calendar year following the year in which the Committee approved such Special Incentive Award.

  • The performance objectives and any other criteria, restrictions or procedures associated with eligibility to receive any such Special Incentive Award shall be determined by the Compensation Committee, in its sole discretion, and the material terms thereof shall be attached hereto and incorporated herein as an exhibit to the Plan.

  • In no event shall an Award exceed 200% of the Participant’s actual base annual salary during the Plan Year, nor shall a Special Incentive Award exceed 50% of the Participant’s actual base annual salary during the Plan Year.

  • At the time the Special Incentive Award is granted, the Committee shall prescribe a formula to determine the percentage of the Target Incentive Award which may be payable based upon the degree of attainment of the Performance Goals during the Incentive Period.

  • When appropriate, and subject to the approval of the Committee, the CEO may recommend a Special Incentive Award in recognition of exemplary performance on a specific project or issue to any Eligible Employee.

  • The Board of Directors, or the Compensation Committee thereof, shall determine the amount of the Special Incentive Award.

  • The Committee shall specify with respect to an Incentive Performance Period, not later than ninety (90) days after the commencement of the relevant Performance Period and before twenty-five percent (25%) of the relevant Incentive Performance Period has elapsed, the Performance Goals applicable to each Special Incentive Award and, may, in its sole discretion, specify minimum, target and maximum levels applicable to each Performance Goal.

  • In addition to the previously described incentive awards, the Compensation Committee of the Board of Directors may, from time to time, declare a special incentive award ("Special Incentive Award") with respect to a particular Plan year.


More Definitions of Special Incentive Award

Special Incentive Award means an amount awarded in shares of Restricted Stock under Section 4.3 of this Plan.
Special Incentive Award means an Incentive Award that is granted under this Subplan to a Covered Employee, is intended to be Performance-Based Compensation, and is subject to Article 15 of the Plan and Article 9 of this Subplan.2.5 “Subplan” means this Executive Annual Incentive Subplan of the Company.

Related to Special Incentive Award

  • Annual Incentive Award means an Award made subject to attainment of performance goals (as described in Section 14) over a performance period of up to one year (the Company’s fiscal year, unless otherwise specified by the Committee).

  • Other Incentive Award means an Award denominated in, linked to or derived from Shares or value metrics related to Shares, granted pursuant to Section 9.6 hereof.

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Cash Incentive Award means a cash award granted pursuant to Section 8 of this Plan.

  • Long-Term Incentive Award means an Award described in Section 6(g) hereof that is based upon a period in excess of one year.

  • Clawback Eligible Incentive Compensation means all Incentive-based Compensation Received by an Executive Officer (i) on or after the effective date of the applicable Nasdaq rules, (ii) after beginning service as an Executive Officer, (iii) who served as an Executive Officer at any time during the applicable performance period relating to any Incentive-based Compensation (whether or not such Executive Officer is serving at the time the Erroneously Awarded Compensation is required to be repaid to the Company), (iv) while the Company has a class of securities listed on a national securities exchange or a national securities association, and (v) during the applicable Clawback Period (as defined below).

  • Cash Award means an award denominated in cash.

  • Bonus Award means a bonus award made pursuant to Section 9.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.

  • LTIP Award means each or any, as the context requires, LTIP Award issued under any Equity Incentive Plan.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • 3(i) Award means an Award granted pursuant to Section 3(i) of the Ordinance to any person who is a Non- Employee.

  • Annual Incentive Plan means the Cinergy Corp. Annual Incentive Plan or any similar plan or successor to the Annual Incentive Plan.

  • Performance Award means any right granted under Section 6(d) of the Plan.

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Performance Unit Award means an award of Performance Units under this Plan.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Performance Bonus means the performance bonus in respect of each Class payable to the General Partner by the Partnership which will be equal to 20% of the product of: (a) the number of Units of that Class outstanding on the Performance Bonus Date; and (b) the amount by which the Net Asset Value per Unit of that Class on the Performance Bonus Date (prior to giving effect to the Performance Bonus) plus the aggregate value of all distributions per Unit of that Class during the Performance Bonus Term exceeds $25.00.

  • Equity Award means any option, restricted stock award, restricted stock unit award, stock appreciation right or other equity award to acquire shares of the Company’s common stock granted or issued to the Executive.

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).

  • Target Award means the target award, at 100% of target level performance achievement, payable under the Plan to a Participant for the Performance Period, as determined by the Committee in accordance with Section 3(b).

  • Average Incentive Compensation means the average of the annual incentive compensation under Subparagraph 3(a) received by Executive for the three (3) immediately preceding fiscal years or such fewer number of complete fiscal years as Executive may have been employed by the Company. In no event shall “Average Incentive Compensation” include any sign-on bonus, retention bonus or any other special bonus. Notwithstanding the foregoing, if the Executive breaches any of the provisions contained in Paragraphs 4 and 5 of this Agreement, all payments of the Severance Amount shall immediately cease. Notwithstanding the foregoing, in the event Executive terminates his employment for Good Reason as provided in Subparagraph 6(e), he shall be entitled to the Severance Amount only if he provides the Notice of Termination provided for in Subparagraph 6(f) within thirty (30) days after the occurrence of the event or events which constitute such Good Reason as specified in clauses (A), (B), (C), (D), (E) and (F) of Subparagraph 6(e);

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Award Opportunity means a cash award opportunity established under the Plan for a Participant by the Committee pursuant to such terms, conditions, restrictions and/or limitations, if any, as the Committee may establish.

  • Bonus means the bonus described in the Section 2.3.

  • Annual Award means the cash payment paid or payable to the Executive with respect to a fiscal year under the Corporation's Incentive Compensation Performance Plan.
